Knowledge of Target definition

Knowledge of Target or “Target’s Knowledge” means, with respect to any executive officer or director of Target, the actual knowledge of such Persons, in each case after due inquiry and reasonable investigation.
Knowledge of Target and words of similar import shall mean all facts known by those officers or directors of Target or Target Subsidiaries set forth in Section 8.7(p) of the Target Disclosure Letter after due inquiry and diligence with respect to the matters at hand.
Knowledge of Target means the actual knowledge of Takats or ▇▇▇▇▇▇ of a particular fact, circumstance, event or matter, or knowledge of such fact, circumstance, event or matter that would have been obtained after making reasonable inquiry.

  • Target or its Subsidiaries and, to the Knowledge of Target, the counterparties to all such Derivative Transactions, have duly performed, in all material respects, their obligations thereunder to the extent that such obligations to perform have accrued.
