Knowledge of Target definition

Knowledge of Target means with respect to a particular fact or other matter, the actual knowledge of Xxxxxx X. Xxxxxx, III, Xxxxxx X. Xxxxxx or Xxxxxx X. Xxxxx, XX of such fact or matter, after reasonable inquiry.

Knowledge of Target and words of similar import shall mean all facts known by those officers or directors of Target or Target Subsidiaries set forth in Section 8.7(p) of the Target Disclosure Letter after due inquiry and diligence with respect to the matters at hand.

Knowledge of Target. “Target’s knowledge” and similar references refer to the actual knowledge of any member of Target’s board of directors and Managers and, with respect to the Managers, the knowledge that any such individual would have possessed had they made reasonable due inquiry with respect to the matter in question.

• Target or its Subsidiaries and, to the Knowledge of Target, the counterparties to all such Derivative Transactions, have duly performed, in all material respects, their obligations thereunder to the extent that such obligations to perform have accrued.

• No proceedings have been instituted, or are pending or to the Knowledge of Target threatened, which challenge the rights of any Target Entity with respect to Intellectual Property used, sold or licensed by such Target Entity in the course of its business, nor has any person claimed or alleged any rights to such Intellectual Property.

• No investigation or review by any Governmental Entity with respect to Target or any of the Target Subsidiaries is pending and of which Target has Knowledge or, to the Knowledge of Target, is threatened, other than those the outcome of which, individually or in the aggregate, would not reasonably be expected to have a Target Material Adverse Effect.

• To the Knowledge of Target, there are no material breaches, violations or defaults or allegations or assertions of such by any party pursuant to any such Derivative Transactions.

Doster, Gerard M. Hayden, Jr., J. Edward Pearson, Michael Sousa, and Michael Collier; provided, however, that it is understood and agreed that the individuals listed above shall have no personal liability in any manner whatsoever hereunder or otherwise related to the Transactions contemplated hereby by virtue of being named in this definition.

Knowledge of Target and similar terms mean the current knowledge of: Xxxx X. Xxxxx, President, Chief Executive Officer and Chairman of the Board of Directors; Xxxxx X. XxXxxx, Senior Vice President, Chief Accounting Officer and Secretary; Xxxx X. Xxxxxxxxxx, Vice President-Business Development — TMRX; A. Xxxx Xxxxxx, Vice President-Operations — TMRX; Xxxxxx X. Xxxx, Vice President and Xxxxx Porciaux, Land Coordinator.

Knowledge of Target or “to Target’s knowledge” means the actual knowledge of X. Xxxxxx Credit, Xxxxxx Xxxxxx or Xxxxx Xxxxxxx.

Knowledge of Target. “Target’s Knowledge” or similar terms means the actual knowledge of a particular fact or other matter by each of the individuals set forth on Schedule 1.1(b), provided, however, that any such individual shall be deemed to have “Knowledge” of a fact or matter if in exercising reasonable care such individual would be expected to discover or become aware of that fact or matter in the course of carrying out his or her employment duties and responsibilities on behalf of Target.

Knowledge of Target means the actual knowledge of Target’s, Target’s officers and directors, Principal and Principal’s officers and directors and the knowledge that such Persons should have in performing their day-to-day duties for Target.
