Kimball International Group means (i) Kimball International and any businesses that are part of the Retained Assets and (ii) each Business Entity that becomes a Subsidiary of Kimball International after the Effective Time.

Examples of Kimball International Group in a sentence

  • Each Party acknowledges that it and the other members of its Group may have in its or their possession confidential or proprietary Information of third parties that was received under confidentiality or non-disclosure agreements with such third party while such Party and/or members of its Group were part of the Kimball International Group.

  • Notwithstanding the foregoing, the Kimball Electronics Assets shall not include any Assets that are expressly contemplated by this Agreement or by any Ancillary Agreement (or the Schedules hereto or thereto) as Assets to be retained by or Transferred to any member of the Kimball International Group.

  • Nothing in the Exhibits or Schedules constitutes an admission of any liability or obligation of any member of the Kimball International Group or the Kimball Electronics Group or any of their respective Affiliates to any third party, nor, with respect to any third party, an admission against the interests of any member of the Kimball International Group or the Kimball Electronics Group or any of their respective Affiliates.

  • Nothing contained herein shall be construed to be an attempted assignment of or a change to any part of the ownership of the Company Policies or shall be construed to waive any right or remedy of any member of the Kimball International Group in respect thereof.

  • As the total amount of gas entering the gathering system is reduced, the same volumetric loss would result in a higher UFG rate.

  • It is understood that Claims-Made Policies may not provide coverage to the members of the Kimball Electronics Group or the Kimball International Group, as applicable, for incidents occurring prior to the Effective Time but asserted with the insurance carrier after the Effective Time.

  • Notwithstanding the foregoing, the Kimball Electronics Liabilities shall not include any Liabilities that are expressly (A) contemplated by this Agreement or by any Ancillary Agreement (or the Schedules hereto or thereto) as Liabilities to be Assumed by any member of the Kimball International Group, including any Liabilities specified in the definition of Retained Liabilities or (B) discharged pursuant to Section 2.2(b) of this Agreement.

  • It is understood that Claims- Made Policies may not provide coverage to the members of the Kimball Electronics Group or the Kimball International Group, as applicable, for incidents occurring prior to the Effective Time but asserted with the insurance carrier after the Effective Time.

  • National Grid means National Grid Gas plc (Company No.2006000) whose registered office is at 1-3 Strand, London WC2N 5EH.

  • SpinCo shall have the meaning set forth in the Preamble.

  • Broadridge means Broadridge Financial Solutions, Inc.;

  • Topco has the meaning set out in the Preamble;

  • Mutual holding company means that term as defined in section 10(o) of the home owners' loan act, chapter 64, titles III and IX of Public Law 101-73, 12 U.S.C. 1467a, and OTS regulations governing mutual holding companies.

  • Insurance holding company system means a group of two or more affiliated persons, at least one of whom is an insurer.

  • Horizon means a layer of soil, approximately parallel to the surface, that has distinct characteristics produced by soil forming processes.

  • Organized criminal group means a structured group of three or more persons, existing for a period of time and acting in concert with the aim of committing one or more serious crimes or offences established in accordance with this Convention, in order to obtain, directly or indirectly, a financial or other material benefit;

  • MNE Group means any Group that (i) includes two or more enterprises the tax residences of which are in different jurisdictions, or includes an enterprise that is resident for tax purposes in one jurisdiction and is subject to tax with respect to the business carried out through a permanent establishment in another jurisdiction, and (ii) is not an Excluded MNE Group;

  • mixed financial holding company means a mixed financial holding company as defined in point (21) of Article 4(1) of Regulation (EU) No 575/2013;

  • ITT has the meaning given to it in the recitals to this Framework Agreement;

  • Asset Management Plan means a plan created by the department and approved by the state transportation commission or a plan created by a local road agency and approved by the local road agency's governing body that includes provisions for asset inventory, performance goals, risk of failure analysis, anticipated revenues and expenses, performance outcomes, and coordination with other infrastructure owners.

  • Holdco has the meaning set forth in the Preamble.

  • Lazard means Lazard & Co., Limited;

  • Dte. GHS means Directorate General and Health Services, MOH&FW.

  • HSBC Group means HSBC Holdings plc, its affiliates, subsidiaries, associated entities and any of their branches and offices (together or individually), and “member of the HSBC Group” has the same meaning.

  • Parent Local Governor means the parent member of a Local Governing Body elected or appointed in accordance with Articles 54-56;

  • Comcast means Comcast Corporation, a Pennsylvania corporation.

  • Michigan national guard means that term as defined in section 105 of the Michigan military act, 1967 PA 150, MCL 32.505.

  • Constellation has the meaning assigned to that term in the Recitals.

  • SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”
