Jxx.XX Group definition

Jxx.XX Group means (i) Jxx.XX, the Jxx.XX Retained Business and each Person that is a direct or indirect Subsidiary of Jxx.XX as of immediately following the Distribution Time and (ii) each Business Entity that becomes a Subsidiary of Jxx.XX after the Distribution Time.

  • Nothing in the Exhibits or Schedules constitutes an admission of any liability or obligation of any member of the Jxx.XX Group or the SpinCo Group or any of their respective Affiliates to any third party, nor, with respect to any third party, an admission against the interests of any member of the Jxx.XX Group or the SpinCo Group or any of their respective Affiliates.

  • Jxx.XX and each member of the Jxx.XX Group has all requisite entity power and authority to own, lease and operate its properties and assets in the manner in which such assets and properties are now owned, leased and operated and to conduct its business as it is now being conducted.

  • Without limiting the foregoing, Jxx.XX, at its sole cost and expense and at the reasonable request of SpinCo, will take such other actions as may be reasonably necessary to vest in SpinCo such title and such rights as possessed by any member of the Jxx.XX Group to the SpinCo Assets under this Agreement or any of the Ancillary Agreements, free and clear of any Security Interest.

  • No Consent of, with or to any Governmental Entity is required to be obtained or made by any member of the Jxx.XX Group in connection with the execution or delivery by Jxx.XX of this Agreement or the Ancillary Agreements to which it is or will be a party or the consummation by Jxx.XX of the Transactions.

  • Each member of the Jxx.XX Group is duly licensed or qualified and in good standing (or equivalent status as applicable) in each jurisdiction in which the assets owned or leased by it or the character of its activities require it to be so licensed or qualified or in good standing (or equivalent status as applicable), except as would not, individually or in the aggregate, have a Jxx.XX Material Adverse Effect.

  • Unless the context requires otherwise, references in this Agreement to “Jxx.XX” shall also be deemed to refer to the applicable member of the Jxx.XX Group and, in connection therewith, any references to actions or omissions to be taken, or refrained from being taken, as the case may be, by Jxx.XX shall be deemed to require Jxx.XX to cause the applicable members of the Jxx.XX Group to take, or refrain from taking, any such action.

  • Each member of the Jxx.XX Group has been duly incorporated or organized and is validly existing and in good standing under the Laws of its jurisdiction of organization or incorporation, as applicable.

Related to Jxx.XX Group

  • SAP Group means SAP Parent and any of its Associated Companies.

  • Tax Group means any federal, state, local or foreign consolidated, affiliated, combined, unitary or other similar group of which the Acquiror Company is now or was formerly a member.

  • SpinCo Group means SpinCo and the SpinCo Subsidiaries.

  • ▇▇▇▇▇ Group means Xxxxx and any Affiliate of Xxxxx.

  • ▇▇▇▇ Group means collectively Xxxx Capital Fund V, L.P., Xxxx Capital Fund V-B, L.P., BCIP Associates, BCIP Trust Associates, L.P. and Xxxxxxxx Street Partners.

  • ▇▇▇▇▇▇ Group shall have the meaning set forth in Section 9.2(b) hereof.

  • Remainco Group means RemainCo and its Subsidiaries, other than the SpinCo Group.

  • Seller Group means, at any time, the group of companies comprised of Xxxxx Fargo & Company and its subsidiaries at that time.

  • Toyota Group means Toyota (GB) PLC or Toyota Motor Europe;

  • ▇▇▇▇▇▇▇ Group means (i) any member of the Xxxxxxx Family, (ii) any Related Person of any such member, and (iii) the Xxxxx Xxxxx Xxxxxxx, Jr. Grantor Retained Annuity Trust, the Xxxxxx Xxxxxxx Family Trust, the Xxxx Xxxxxxx Children’s Trust c/o Argent Trust, and the Xxxx Xxxxxxx Legacy Trust-2010 c/o Argent Trust. For the avoidance of doubt, the Persons named in (iii) above may be Related Persons of members of the Xxxxxxx Family.

  • Client Group means Client, any corporate body of which Client is a subsidiary (as defined by s. 1159 of the Companies Act 2006), any other subsidiary of such corporate body and any subsidiary of Client;

  • Service Group means any one or more (as the context may require) of the service groups described in this Schedule;

  • Seller’s Group means the Seller and its Affiliates from time to time;

  • COVID-19 means SARS-CoV-2 or COVID-19, and any evolutions or mutations thereof or related or associated epidemics, pandemic or disease outbreaks.

  • Customer Group means the Customer and where the Customer is a company, its holding company (if any) and their respective subsidiaries from time to time;

  • MNE Group means any Group that (i) includes two or more enterprises the tax residences of which are in different jurisdictions, or includes an enterprise that is resident for tax purposes in one jurisdiction and is subject to tax with respect to the business carried out through a permanent establishment in another jurisdiction, and (ii) is not an Excluded MNE Group;

  • DCYF or the “Division” means the Department of Health and Human Services’ Division for Children, Youth and Families.

  • DBS Group means any of DBS’s subsidiaries, DBS’s holding company and any subsidiaries of DBS’s holding company;

  • SpinCo shall have the meaning set forth in the Preamble.

  • User Group means (a) you; (b) any entity or individual that Stripe reasonably determines is associated with you; and (c) each of your and their Affiliates; that has entered into an agreement with Stripe (or an Affiliate of Stripe) under which Stripe or its Affiliate provides services.

  • Combined Group means a group of corporations or other entities that files a Combined Return.

  • Target Group means the Target and its Subsidiaries.

  • Top Paid Group means the top 20 percent of Employees who performed services for the Employer during the applicable year, ranked according to the amount of "415 Compensation" (determined for this purpose in accordance with Section 1.26) received from the Employer during such year. All Affiliated Employers shall be taken into account as a single employer, and Leased Employees within the meaning of Code Sections 414(n)(2) and 414(o)(2) shall be considered Employees unless such Leased Employees are covered by a plan described in Code Section 414(n)(5) and are not covered in any qualified plan maintained by the Employer. Employees who are non-resident aliens and who received no earned income (within the meaning of Code Section 911(d)(2)) from the Employer constituting United States source income within the meaning of Code Section 861(a)(3) shall not be treated as Employees. Additionally, for the purpose of determining the number of active Employees in any year, the following additional Employees shall also be excluded; however, such Employees shall still be considered for the purpose of identifying the particular Employees in the Top Paid Group:

  • Supplier Group means the Supplier, its Affiliated Companies, its subcontractors and its and their respective employees, officers, directors, representatives, agents and invitees.

  • Distribution Network Operator or “DSO” shall mean the operator of a Distribution Network.

  • Parent Group has the meaning set forth in Section 8.03(c).
