JWM, Jr. Shares definition

JWM, Jr. Shares means all shares of capital stock of Marriott International, Inc. that, as of the date hereof, are owned by TPV, L.P. or Anchorage LP, which shares are attributable to the capital stock of Marriott International, Inc. that was contributed to TPV, L.P. and Anchorage LP by X. Xxxxxxx Marriott, Jr. and any capital stock or other securities issued, after the date hereof, by Marriott International, Inc. or any successor thereto in exchange for or with respect to those shares of capital stock or with respect to any other securities constituting JWM, Jr. Shares under this definition (including any securities issued with respect to those shares of capital stock as a result of any stock split, reclassification, or recapitalization of Marriott International, Inc.). “JWMFE, L.P.” means JWM Family Enterprises, L.P., a Delaware limited partnership organized and existing pursuant to a First Amended and Restated Agreement of Limited Partnership of JWM Family Enterprises, L.P., dated as of April 19, 1993, as amended.

  • Offering Shares means the shares of Common Stock issued to the Purchasers pursuant to the Subscription Agreements, and any shares of Common Stock issued or issuable with respect to such shares upon any stock split, dividend or other distribution, recapitalization or similar event with respect to the foregoing.

  • Buyer Shares means the common stock, with a par value of $0.0001 per share, of Buyer.

  • B Shares means a participating share of no par value in the capital of the Fund, denominated in Euro(s);

  • Coop Shares Shares issued by a Cooperative Corporation.

  • Founder Shares shall have the meaning given in the Recitals hereto and shall be deemed to include the shares of Common Stock issuable upon conversion thereof.

  • New Shares means ordinary or common shares, whether of the entity or person (other than the Share Issuer) involved in the Merger Event or a third party, that are, or that as of the Merger Date are promptly scheduled to be, (i) publicly quoted, traded or listed on an exchange or quotation system located in the same country as the Exchange (or, where the Exchange is within the European Union, in any member of state of the European Union) or on another exchange acceptable to the Issuer and (ii) not subject to any currency exchange controls, trading restrictions or other trading limitations.

  • Management Shares means a management share in the capital of the ICAV which shall have the right to receive an amount not to exceed the consideration period for such Management Share.

  • Amalco Shares means the common shares in the capital of Amalco;

  • Newco Shares means the common shares in the capital of Newco;

  • Subscriber Shares means the Shares which the subscribers to the Instrument of the ICAV agree to subscribe for as more particularly hereinafter set forth after their names.

  • Stockholder Shares means any Common Stock owned by a Stockholder on the date of the closing of the Transactions or hereafter, together with any equity securities issued or issuable directly or indirectly with respect to such Common Stock by way of stock dividend or stock split or in connection with a combination of shares, recapitalization, merger, consolidation or other reorganization.

  • Unit Shares has the meaning ascribed thereto in the first paragraph of this Agreement;

  • Purchaser Shares means the common shares in the capital of the Purchaser.

  • Dividend Shares means the shares of Common Stock issuable in payment of dividends payable on the Preferred Shares in accordance with the terms of the Certificate of Designation.

  • Covered Shares means, with respect to the Shareholder, (i) the Existing Shares, together with (ii) any shares of Common Stock or other voting capital stock of the Company and any securities convertible into or exercisable or exchangeable for shares of Common Stock or other voting capital stock of the Company, in each case under this clause (ii) that such Shareholder acquires Beneficial Ownership of on or after the date hereof.

  • Acquired Shares has the meaning set forth in the Recitals.

  • Co-op Shares Shares issued by private non-profit housing corporations.

  • Company Shares means the common shares in the capital of the Company;

  • Company Securities has the meaning set forth in Section 3.02(b)(ii).

  • Sold Shares shall have the meaning specified in Section 6.

  • Common Shares means the common shares in the capital of the Corporation;

  • Merger Shares has the meaning set forth in Section 2.2(c).
