Junior Shareholder definition

Junior Shareholder means the holders of Outstanding Shares listed on Annex III (which Annex shall be delivered prior to the Closing so as to be accurate as of the Closing) solely with respect to the number of Outstanding Shares set forth opposite their name on Annex III; provided, however, that the aggregate number of Outstanding Shares set forth on Annex III shall not be less than that number of Outstanding Shares that when multiplied by the Total Per Share Merger Consideration shall be equal to the Escrow Amount.
