June 26 Directors’ Circular definition

June 26 Directors’ Circular means the directors’ circular of the Board dated June 26, 2006 issued in respect of the Initial Petro-Canada Offer, the CanSup Offer and the Initial Canadian Oil Sands Offer;

  • Directors Report means the annual directors’ report prepared under Chapter 2M of the Corporations Act for the Company and its controlled entities;

  • External Directors means directors appointed and serving in accordance with Sections 239 through 249 of the Companies Law.

  • Board of Directors means the board of directors of the Company.

  • Bondholders’ Meeting means a meeting among the Bondholders held in accordance with Clause 17 (Bondholders’ Meeting).

  • Guarantor’s Board of Directors means the board of directors of the Guarantor or any committee of that board duly authorized to act generally or in any particular respect for the Guarantor hereunder.

  • Non-Executive Directors means the Directors who are not in whole time employment of the Company.

  • Finance Committee means the Finance Committee of the University;

  • Ethics Committee means an independent body established in a Member State in accordance with the law of that Member State and empowered to give opinions for the purposes of this Regulation, taking into account the views of laypersons, in particular patients or patients' organisations;

  • Chair means the chair of the Board;

  • School board means the governing board of directors of the local school district.

  • General Meeting means the annual or any special general meeting of the Association.

  • Health Board means a Health Board established under section 2 of the National Health Service (Scotland) Act 1978;

  • Board of Supervisors means the Board of Supervisors of Kern County.

  • Court Meeting means the meeting(s) of the Scheme Shareholders to be convened by order of the Court pursuant to section 896 of the Companies Act, notice of which will be set out in the Scheme Document, for the purpose of approving the Scheme, including any adjournment thereof;

  • Academic Board means the Academic Board of the University College established under paragraph 13;

  • Advisory Board means the Long-Term Care Facility Advisory Board;

  • Board means the Board of Directors of the Company.
