Notwithstanding the foregoing, JKP Holdings LLC may assign this Agreement and any of its rights and/or obligations hereunder upon written notice to Company, to any of its affiliated companies or to an entity with or into which it is merged or consolidated or to which it sells all or substantially all its capital stock or assets associated with the operations related to this Agreement, without the consent of Company.
The parties acknowledge and agree that any disclosure of Confidential Information, and in the case of JKP Holdings LLC, under this Agreement shall in no way be construed to be an assignment, transfer, or conveyance of title to or ownership rights in such Confidential Information or JKP Holdings LLC Sensitive Data.
Notwithstanding the foregoing, each party may retain copies of the Confidential Information and/or JKP Holdings LLC Sensitive Data, as applicable, to the extent required to comply with applicable legal and regulatory requirements, provided, however, that such Confidential Information and/or JKP Holdings LLC Sensitive Data, as applicable, shall remain subject to the terms and conditions herein.
No party may assign any of its rights or delegate any of its obligations under this Agreement without the prior written consent of the other parties, except that JKP Sub may assign any of its rights and delegate any of its obligations under this Agreement to any Subsidiary of JKP Sub and may collaterally assign its rights hereunder to any financial institution providing financing in connection with the Contemplated Transactions.
Such cross-collateralization of the JKP Promissory Note (as amended by this Second Amendment), the Aquarian Loan Agreement, the IRG Split Note, and the JKP Split Note shall be reflected in (i) the Aquarian Loan Agreement and the agreements executed in connection therewith, (ii) the IRG Split Note, (iii) the JKP Split Note, and/or (iv) appropriate instruments that amend, supplement, and/or assign the JKP Promissory Note or any of the other the foregoing instruments.
There no "employee pension benefit plans" (as defined in Section 3(2) of the Employee Retirement Income Security Act of 1974, as amended ("ERISA")) or "employee welfare benefit plans" (as defined in Section 3(1)of ERISA) maintained, or contributed to, by JKP for the benefit of any current or any former employees, officers or directors of JKP.
To the extent that JKP Sub has assumed any Uncollectible Accounts pursuant to Section 4.1(c) hereof, there shall be a pro rata deduction from the Purchase Price in the amount of each Uncollectible Account; provided, however, that from time to time after the Purchase Price Adjustment Date, the Purchase Price shall be adjusted in accordance with the foregoing provision.
