Jade SPA means that certain Share Purchase Agreement, dated as of March 20, 2017, by and among Solvay P&S GmbH, Rhodia S.A., Solvay GmbH, Rhodia Brasil Ltda, Rhodia Operations SaS, Rodianyl SaS, Solvay Chemicals and Plastics Holding B.V., Solvay America Inc., Solvay USA Inc., Swordfish US Subsidiary and Swordfish Foreign Subsidiaries.

  • Stand Alone System Upgrade Facilities means System Upgrade Facilities that a Developer may construct without affecting day-to-day operations of the New York State Transmission System during their construction.   • Construction Plant means appliances, machinery with necessary supply to up keep and maintenance of the works or temporary works but dose not include materials or other things intended to form part of the permanent work.

  • Hotel means any establishment used for the purpose of temporary, overnight lodging for which a fee is paid and reservations are required.

  • RFP Project Documents means the following documents to be entered into in respect of the Project, by the parties to the respective agreements:

  • Lease Agreement means the bargain, with respect to the lease, of the lessor and the lessee in fact as found in their language or by implication from other circumstances including course of dealing or usage of trade or course of performance as provided in this article. Unless the context clearly indicates otherwise, the term includes a sublease agreement.

  • Master Lease Agreement has the meaning set forth in Section 7.2(c)(xiv).

  • Master Leases means the PropCo Master Leases and each other Material Master Lease.

  • Acquisition Agreements means the Nexstar Acquisition Agreement and the Mission Acquisition Agreement, and “Acquisition Agreement” means the applicable agreement in the context used.

  • Construction Completion Date means the date by which the overall development of the Project is completed in accordance with the provisions of this Agreement and when the Construction Completion Certificate is issued by the Independent Engineer as per Article 14.1.
