Evidence of Compliance with Covenants (a) Iusacell Celular shall deliver to the Trustee as soon as available, but in any event within 180 days after the end of each fiscal year of Iusacell Celular, an Officers’ Certificate stating whether, to the best of such Officers’ knowledge, anything came to his or her attention to cause him or her to believe that there existed on the date of such statements a Default or Event of Default, and if so, specifying the nature and period of existence thereof.
By execution of this Master Lease, Grupo Iusacell Celular hereby agrees to be jointly and severally liable for all of the obligations of Lessee under this Master Lease with respect to any Site purchased under the 2001 Purchase Agreement, and Grupo Iusacell agrees to be jointly and severally liable for all the obligations of Lessee under this Master Lease with respect to Sites purchased under the 2003 Purchase Agreement.
Acquisition Commitments—As of June 30, 2004, the Company was party to agreements relating to the acquisition of 63 tower assets from Iusacell Celular (Iusacell) for an aggregate remaining purchase price of approximately $13.2 million.
