IT Systems definition

IT Systems means Software, computer firmware or middleware, computer hardware, electronic data processing and telecommunications networks, network equipment, interfaces, platforms, peripherals, computer systems, co-location facilities, including any outsourced systems and processes, in each case, that are owned, leased, licensed by, or otherwise relied on by either the Company, Acquiror or any of their respective Subsidiaries.
IT Systems shall have the meaning ascribed to such term in Section 3.1(qq).

  • Except as otherwise disclosed in the Commission Documents, to the Company’s Knowledge, since January 1, 2021, there have not been any material failures or continued substandard performance of any IT Systems that have caused a material failure of the IT Systems.

  • The Company and its subsidiaries are presently in material compliance with all applicable laws or statutes and all judgments, orders, rules and regulations of any court or arbitrator or governmental or regulatory authority, internal policies and contractual obligations relating to the privacy and security of IT Systems and Data and to the protection of such IT Systems and Data from unauthorized use, access, misappropriation or modification.

  • To the knowledge of the Company and except as would not reasonably be expected to have a Material Adverse Effect, during the past three (3) years, there have been no breaches, outages or unauthorized uses of or accesses to the IT Systems, Confidential Data, and Personal Data.

  • Except as otherwise disclosed in the Commission Documents, the Company and its Subsidiaries have taken commercially reasonable steps designed to protect the confidentiality, integrity and security of the IT Systems, Personal Data, and all material information stored or contained therein or transmitted thereby from any theft, corruption, loss or unauthorized use, access, interruption or modification by any Person.


More Definitions of IT Systems

IT Systems means all electronic data processing, information, recordkeeping, communications, telecommunications, account management, inventory management and other computer systems (including all computer programs, software, databases, firmware, hardware and related documentation) and Internet websites.
