IT Costs definition

IT Costs means the costs payable by the Company on or after Completion in respect of purchasing the IT hardware and software listed in Disclosure Document 9.73;
IT Costs shall have the meaning ascribed thereto in Section ‎2.9 below.
IT Costs shall have the meaning specified in Section 8.9.

Examples of IT Costs in a sentence

  • One-half of any costs or expenses incurred by Sellers prior to the Closing in connection with the fulfillment of their obligations under this Section 8.9 ("IT Costs") shall be reimbursed by Purchaser at the Closing.

  • Purchaser agrees to reimburse Sellers for one-half of any reasonable out-of-pocket costs or expenses incurred by Sellers or its Affiliates in respect of the performance by Sellers of their obligations under the Environmental Systems Separation and Services Agreement or the Shared Site Services Agreement (together with any IT Costs incurred on or prior to the date hereof, "Reimbursed Costs").

IT Costs has the meaning given to it in clause 14.3(b)(iv). IT Services Agreement means the services agreement to be entered into between Universal or its Affiliates and the Company with respect to the information technology support services to be provided to the Company.
