Issuer Share Repurchase means, with respect to any Issuer, a repurchase by such Issuer or any Subsidiary thereof of any Shares issued by such Issuer, whether the consideration is cash, securities or otherwise.

Issuer Share Repurchase means a repurchase by Issuer or any Subsidiary thereof of a number of shares (together with any Shares previously repurchased by Issuer or any Subsidiary thereof since the Closing Date) that exceeds 2.5% of the number of Shares outstanding as of the Closing Date, whether the consideration is cash, securities or otherwise, other than a repurchase of Shares by Issuer or any Subsidiary thereof from Borrower.

  • VWAP Purchase Date means, with respect to any VWAP Purchase made hereunder, the Business Day following the receipt by the Buyer of a valid VWAP Purchase Notice that the Buyer is to buy Purchase Shares pursuant to Section 1(c) hereof.

  • Final Preference Share Redemption Date means the date that falls twenty Business Days following the Valuation Date on which the Calculation Agent has determined the Final Preference Share Redemption Amount or, if earlier, the first Auto-Call Valuation Date on which an Auto-Call Trigger Event has occurred.
