Ipsen Invention definition

Ipsen Invention means any Invention made solely by Ipsen as from the Effective Date including an Ipsen Product Improvement which development, manufacture, import, sale and use is Covered by a Valid Claim of GTx Patents.
Ipsen Invention means any invention or Technology, whether or not patentable, that is made, conceived, generated or first actually reduced to practice by or on behalf of Ipsen (or an Affiliate of Ipsen), whether solely or jointly with BMS, Exelixis (and/or any Affiliate of BMS or Exelixis) and/or any Third Party in the course of activities under this Supplement, including but not limited to activities in connection with the JCS-WG, or directly relating to any Study Data, any Invention, any Confidential Information of BMS or any Confidential Information of Exelixis.

Examples of Ipsen Invention in a sentence

  • Any Inventions made by the Developing Party during the course of, or in furtherance of, and as direct result of the development activities in the Sole Subsequent Development shall be owned by the Developing Party and shall be considered as an Ipsen Invention if the Developing Party is Ipsen and a GTx Invention if the Developing Party is GTx.

  • For the avoidance of doubt, any Ipsen Invention and GTx Invention which does not directly result from the development activities under the Joint Subsequent Development shall be or remain owned by Ipsen or GTx, as the case may be.

  • Background Invention means an Invention conceived and first actually reduced to practice before the Effective Date.

  • Licensed IP means the Licensed Patents and the Licensed Know-How.

  • Third Party Technology means all Intellectual Property and products owned by third parties and licensed pursuant to Third Party Licenses.

  • Program Technology means Program Know-How and Program Patents.

  • Patent Rights means the rights and interests in and to issued patents and pending patent applications (which, for purposes of this Agreement, include certificates of invention, applications for certificates of invention and priority rights) in any country or region, including all provisional applications, substitutions, continuations, continuations-in-part, divisions, renewals, all letters patent granted thereon, and all reissues, re-examinations and extensions thereof, and all foreign counterparts of any of the foregoing.

  • Licensed Technology means the Licensed Patents and the Licensed Know-How.

  • Joint Technology means Joint Know-How and Joint Patents.

  • Product Patents means any Patent Controlled or owned by Quoin in the Territory that, absent the license in Section 2.1, would be infringed by the importation, sale, or use of the Product in the Territory by a third party.

  • Collaboration Patent Rights means Patent Rights claiming Collaboration Know-How.

  • Invention means any idea, concept, discovery, learning, invention, development, research, technology, work of authorship, trade secret, software, firmware, content, audio-visual material, tool, process, technique, know-how, data, plan, device, apparatus, specification, design, prototype, circuit, layout, mask work, algorithm, program, code, documentation or other material or information, tangible or intangible, and all versions, modifications, enhancements and derivative works thereof, whether or not it may be patented, copyrighted, trademarked or otherwise protected.

  • Manufacturing Technology means any and all patents, patent applications, Know-How, and all intellectual property rights associated therewith, and including all tangible embodiments thereof, that are necessary or useful for the manufacture of adeno- associated viruses, adeno-associated virus vectors, research or commercial reagents related thereto, Licensed Products, or other products, including manufacturing processes, technical information relating to the methods of manufacture, protocols, standard operating procedures, batch records, assays, formulations, quality control data, specifications, scale up, any and all improvements, modifications, and changes thereto, and any and all activities associated with such manufacture. Any and all chemistry, manufacturing, and controls (CMC), drug master files (DMFs), or similar materials provided to regulatory authorities and the information contained therein are deemed Manufacturing Technology.

  • Licensed Patents means (a) all United States patents and patent applications listed in Exhibit A, as modified pursuant to Section 2.6.1, including patents arising from such patent applications; and (b) any re-examination certificates thereof, and their foreign counterparts and extensions, continuations, divisionals, and re-issue applications; provided that “Licensed Patents” will not include any claim of a patent or patent application covering any Manufacturing Technology.

  • Program Patent Rights means any Patent Rights that contain one or more claims that cover Program Inventions.

  • Licensed Patent Rights means:
