IPC Group definition

IPC Group means (a) IPC, (b) Irving Place Capital, (c) any investment fund sponsored by Irving Place Capital, (d) any investment fund managed by employees of Irving Place Capital, (e) the general partner or manager of any investment fund described in clause (c) or (d) above, and (f) each of the partners, members or equityholders of any Person described in clause (c), (d) or (e) above (each on a pro rata basis).

IPC Group means, collectively, (a) IPC, (b) Irving Place Capital Management, L.P., a Delaware limited partnership, and any successor-in-interest thereto (c) JDH Management LLC, a Delaware limited liability company, and any successor-in-interest thereto, (d) IPC AIV GP III Ltd., a Cayman Islands exempted company, (e) any investment partnership or investment entity that is controlled, managed or advised, directly or indirectly, by one or more of the Persons described in clauses (b), (c) and (d) above, (f) any investment partnership initially formed for the benefit of employees of The Bear Xxxxxxx Companies Inc. and its subsidiaries that co-invested in some or all of the investments made by one or more of the Persons described in clause (e) above, (g) any entity that has an economic interest in, or provides advisory, management, consulting, administrative or other services to, any of the Persons described in clause (e) and (f) above or to any Person controlled by IPC (other than the Company or any Person controlled by the Company and is controlled, directly or indirectly, by one or more of the Persons described in clauses (a), (b) and (c) above and (h) each of the partners, members or equityholders of any Person described in clauses (b), (c), (d), (e), (f) or (g) above.

  • Supplier Group means the Supplier and its Affiliates from time to time and "Supplier Group Company" means any company or corporation within the Supplier Group;

  • Target Companies means the Company and its Subsidiaries.

  • Transferred Entities means the entities set forth on Schedule 1.5.

  • Group Companies means the Company and its Subsidiaries.

  • DBS Group means any of DBS’s subsidiaries, DBS’s holding company and any subsidiaries of DBS’s holding company;

  • Acquired Entities means the Company and the Company Subsidiaries.

  • Member means a member of the Board;
