IP Developer definition

IP Developer means Clark Championship Products LLC, an Oklahoma limited liability company.
IP Developer is defined in Section 22.13.
IP Developer means all current or former employees, consultants and other Persons who are or have been involved in the development, modification, creation or improvement of any Intellectual Property for the Vendors.

IP Developer has the meaning assigned to such term in Section 2.10(f)(ii). “Issued Shares” has the meaning assigned to such term in the Recitals to the Agreement. “JAMS Rules” means JAMS’ Comprehensive Arbitration Rules and Procedures. An individual shall be deemed to have “Knowledge” of a particular fact or other matter if: (a) such individual is actually aware of such fact or other matter; or (b) a prudent individual could reasonably be expected to have discovered or otherwise become aware of such fact or other matter after having conducted a reasonable inquiry under the circumstances with respect thereto. Further, the Company shall be deemed to have “Knowledge” of a particular fact or other matter if any officer or director of the Company, any individual serving in the role of chief executive officer or chief financial officer of any Acquired Company or any other Person identified on Annex 1 to this Exhibit A, has or had Knowledge of such fact or other matter. Purchaser shall be deemed to have “Knowledge” of a particular fact or other matter if any officer or director of Purchaser has or had Knowledge of such fact or other matter. 12
