Invoicing shall reflect only the labor hours for resources so chartered.
Invoicing and payment shall be made in accordance with the terms set forth in Appendix B Contract Invoicing.
Payment for SERVICES shall be made for all undisputed amounts no more frequently than in monthly installment payments within sixty (60) days after VENDOR submits an invoice to OUSD, in accordance with Paragraph 4 (Invoicing), for the SERVICES actually performed and after OUSD’s written approval that the SERVICES were actually performed.

PRISM may cancel this agreement pursuant to the provisions of Article 21(a)(1) and (a)(2) of the Joint Powers Agreement or PRISM’s Invoicing and Payment Policy established by the Board of Directors.
