INVI or the "Company") over which I have voting control, to amend the Company's certificate of incorporation to increase the number of authorized shares of Common Stock, no par value, of the Company, such that the Company may reserve and issue all of the Conversion Shares (as defined in the Purchase Agreement) and the Warrant Shares (as defined in the Purchase Agreement), which securities are issuable pursuant to the Securities Purchase Agreement, dated as of April ___, 2005, among the Company and the purchasers signatory thereto (the "Purchase Agreement").
