Investor Warranties definition

Investor Warranties means the warranties of the Investor as set out in Schedule 2.
Investor Warranties has the meaning set forth in Section 4.1.

Examples of Investor Warranties in a sentence

  • The Investor Warranties and all other provisions of this Agreement insofar as the same shall not have been performed at the Closing shall not be limited, waived, extinguished or otherwise affected by the Closing, or by any other event or matter whatsoever, except by a specific written waiver or release by the Company or the Sellers, as the case may be.

  • No event or matter arising after the Closing Date shall qualify or operate as disclosure against the Investor Warranties.

  • The Investor Warranties shall be true in all material aspects on and as of the Closing with the same effect as though such warranties had been made on and as of the date of such Closing.

  • Each of the Investor Warranties shall be separate and independent and, save as expressly provided, shall not be limited by reference to any other Investor Warranty or anything in the Investment Documents.

  • The Investor represents and warrants to the Company in the terms of the warranties set forth in Schedule 3 (such warranties, the "Investor Warranties") and acknowledges that the Company in entering into this Agreement is relying on the Investor Warranties.


More Definitions of Investor Warranties

Investor Warranties means the warranties given pursuant to Clause 6.5;
