Investment Transactions definition

Investment Transactions means the investment by one or more of the Investing Parties in Holdings pursuant to the Investment Agreement, and, in connection therewith, the entry into and performance of related transactions, agreements, instruments and arrangements, including, but not limited to:
Investment Transactions means all matters relating to and including the purchase and sale of the assets of the Fund.
Investment Transactions means the actions and measures necessary to put into effect the Instructions.

Examples of Investment Transactions in a sentence

  • The Board may, at any time upon the giving of notice to the Manager, modify or revoke the authority set forth in this Section 2(f); provided, however, that such modification or revocation shall be effective upon receipt by the Manager and shall not be applicable to Investment Transactions to which the Manager has committed the Company prior to the date of receipt by the Manager of such notification.

  • The Investor agreed to enter into this Agreement based, in part, on its expectation, following its discussions with the Placement Agent and the Company, that the Primary Investment Transactions and the Secondary Treasury Sales would be at least adequately subscribed.

  • Such decisions to enter into this Agreement were not based on the identity of any other investor or potential investor (including whether management of the Company would or would not invest) in the Primary Investment Transactions or the Secondary Treasury Sales.

More Definitions of Investment Transactions

Investment Transactions means the transactions contemplated by the Investment Transaction Documents to which this Agreement relates.
Investment Transactions means investment services of an asset management or investment adviso- ry nature and may include advisory services, research material, trading assistance, trading expenses, discretionary management of funds of the plan upon approval by the board, acquisition of equipment to be used as part of the investment function, services that provide a recommended course of action or personal expertise, investment–related legal expenses, investment–related contracting expenses, or custodian services referred to in Section 22359.
Investment Transactions as referred to in paragraph 1 means activities related to:
Investment Transactions means the offering and sale of shares of Series A Convertible Preferred Stock of Parent pursuant to the terms of the Investment Agreement.
Investment Transactions means, collectively, the BCP Investment Transaction and the Ganfeng Investment Transaction;
Investment Transactions means the Parent Merger, the offering and sale of the Securities and the other transactions contemplated by this Agreement and the other Investment Documents.
Investment Transactions has the meaning set forth in the recitals to this Agreement. Investor has the meaning set forth in the recitals to this Agreement. Investor Directors has the meaning ascribed to it in the Affiliation Agreement. Ipsen has the meaning set forth in the preamble to this Agreement.
