Investment Certifications definition

Investment Certifications means a certification, representation and warranty that such Investor: (A) is an accredited investor within the meaning of Rule 501 under the Securities Act; (B) is acquiring the Subject Securities (and any securities it may acquire upon exercise or conversion of the Subject Securities) for its own account for investment and not with a view to, or for sale in connection with, any distribution thereof, nor with any present intention of distributing or selling the same; (C) has no present or contemplated agreement, undertaking, arrangement, obligation, indebtedness or commitment providing for the disposition of the Subject Securities (or any securities it may acquire upon exercise or conversion of the Subject Securities); (D) has made such inquiry concerning the Company and its business and personnel as it has deemed appropriate; and (E) has sufficient knowledge and experience in finance and business that it is capable of evaluating the risks and merits of its investment in the Company.
