Inventory Retail Value definition
Inventory Retail Value for any item of Inventory means the retail price (excluding point-of-sale markdowns) which the Seller is charging to consumers for that item of Inventory at the time of the Inventory Count, based on the Seller's retail price file maintained in the ordinary course of business consistent with past practices, which price file is attached hereto as Schedule 3.4 and which schedule shall be updated as close to the Effective Time as practical.
