Business Day means any day except any Saturday, any Sunday, any day which is a federal legal holiday in the United States or any day on which banking institutions in the State of New York are authorized or required by law or other governmental action to close.

Code means the Internal Revenue Code of 1986, as amended.
Subsidiary means a “subsidiary corporation,” whether now or hereafter existing, as defined in Section 424(f) of the Code.
Board means the Board of Directors of the Company.
Exchange Act means the Securities Exchange Act of 1934, as amended.
Director means a member of the Board.
Confirmation Notice means a notice provided by the Issuer to an Investor in accordance with clause 1.3(c) of the Terms;
Rectification Notice means a notice in writing: Rectify means rectify, remedy or correct.
Written Notification means notification in writing which is mailed, telegraphed or delivered to the address of the person for whom such notification is intended, as shown on the records kept by the Secretary-Treasurer under these Rules, or in any way delivered to such person. If mailed, such notification shall be mailed by first class mail, deposited in a U.S. Postal Service mailbox not later than the second day preceding the day of the meeting to which such notification refers, provided that at least one regular mail delivery day falls between the day of mailing and the day of such meeting.
