Internal Software Systems definition
Internal Software Systems means the computer software (excluding the Software Products), computer firmware, computer hardware (whether general or special purpose), and other similar or related items of automated, computerized, and/or software systems that are used and relied on by the Company for its internal operations.

As of the Closing Date, the Software Products and Internal Software Systems substantially conform to the Company’s current functional requirements, design specifications, documentation and other specifications and will perform substantially in accordance with the foregoing.
To the knowledge of the Company, there are no lock-out devices that will interrupt, discontinue or otherwise adversely affect the Software Products and Internal Software Systems or Buyer’s use thereof.
The Software Products and Internal Software Systems under development by the Company are being developed in accordance with standards generally practiced by companies whose principal business is creation or development of software.
