Integration Fees definition

Integration Fees means any additional fees charged by you to Connected Merchants in return for providing those Connected Merchants with the ability to access their Merchant Account and use the GoCardless Service through your Integration Partner System (these may be referred to as “App Fees” in other documentation published by GoCardless). Integration Partner means the company or other legal entity you entered on the signup page (also referred to as ‘you’). Integration Partner Agreement means the legally binding agreement entered into between you, the Integration Partner and a Connected Merchant. Integration Partner Information has the meaning given to that term in clause 18 of this Agreement. Integration Partner-related Transaction Fees means the fees charged by GoCardless to a Merchant in relation to Transactions processed by GoCardless on behalf of the Merchant, where such Transactions have been initiated via the Pre-built Integration. For the avoidance of doubt, all other fees paid by the Merchant to GoCardless are excluded from this definition, including without limitation, any monthly fee, and any other Transactions initiated by the Merchant, whether through the GoCardless dashboard, another integration, or otherwise. Integration Partner System means the system or service provided by you to Merchants.

Integration Review means the process by which GoCardless will evaluate your Pre-built Integration, having regard to: (a) the technical and non- technical documentation and information you have provided to GoCardless and (b) any other questionnaires relating to your Pre-built Integration that GoCardless has requested you to complete for the purposes of conducting the Integration Review. You acknowledge that GoCardless may, at its sole discretion, require you to demonstrate your Pre-built Integration by way of a video demonstration or some other means, in addition to the above, as part of the Integration Review process. Legal Process Request means any demand, order, request or legal instrument from any government, law enforcement or similar agency. Marketing Material means advertising and/or promotional material relating to the GoCardless Service including without limitation and without limiting the generality of the foregoing: the GoCardless Site, emails, banners, posters, videos, blog posts and press releases. Integration Fees means the fees charged by Xxxxx to the Customer associated with switching between direct and claims billing, switching health plans, modifying or adding data feeds or exchanges, partnering with new technology platforms, or related activities performed by Xxxxx.

Related to Integration Fees

  • Tuition Fees means a sum specified in the Offer Letter, payable by the Student to cover tuition, access to College facilities, enrolment procedures and orientation meetings, use of Information Technology facilities, exam sitting and a Kaplan award on successful completion of the Programme; and

If such Mortgage Loan (or Serviced Loan Combination) ceases to be a Corrected Loan, the Special Servicer shall be entitled to a Liquidation Fee or Workout Fee (to the extent not previously offset) with respect to the new modification, waiver, extension or amendment or future liquidation of the Specially Serviced Loan or related REO Property (including in connection with a repurchase, sale, refinance, discounted or full payoff or other liquidation); provided that any Excess Modification Fees earned and paid to the Special Servicer in connection with such subsequent modification, waiver, extension or amendment (or, as contemplated by the preceding proviso, a prior modification, waiver, extension or amendment) shall be applied to offset such Liquidation Fee or Workout Fee to the extent described above. Within any prior 12-month period, all Excess Modification Fees earned by the Master Servicer or the Special Servicer (after taking into account any offset described above applied during such 12-month period) with respect to any Serviced Mortgage Loan (or Serviced Loan Combination, if applicable) shall be subject to a cap equal to the greater of (i) 1% of the outstanding principal balance of such Serviced Mortgage Loan (or Serviced Loan Combination, if applicable) after giving effect to such transaction, and (ii) $25,000.

  • Program Expenses means all UHC’s expenses of administering the Program under the Indenture and the Act and shall include without limiting the generality of the foregoing; salaries, supplies, utilities, labor, materials, office rent, maintenance, furnishings, equipment, machinery and apparatus, including information processing equipment; software, insurance premiums, credit enhancement fees, legal, accounting, management, consulting and banking services and expenses; Fiduciary Expenses; remarketing fees; Costs of Issuance not paid from proceeds of Bonds; and payments to pension, retirement, health and hospitalization funds; and any other expenses required or permitted to be paid by UHC.

  • Distribution Fee means a percentage of MRP of each of the Subscribed Channels payable by SDSPL to the Licensee towards fee for distribution of each of the Subscribed Channels as more specifically specified in Annexure B and Annexure B-1 of this Agreement.

  • Transition Expenses The reasonable costs (including reasonable attorneys’ fees) of the Backup Servicer incurred in connection with the transferring the servicing obligations under this Agreement and amending this Agreement to reflect such transfer in an amount not to exceed $100,000.

  • Assumption Fees With respect to any Serviced Mortgage Loan (or Serviced Loan Combination, if applicable), any and all assumption fees of such Serviced Mortgage Loan (or Serviced Loan Combination, if applicable) for transactions effected under Section 3.09(a), 3.09(b) and 3.09(c) of this Agreement (excluding assumption application fees), actually paid by the related Mortgagor and other applicable fees (not including assumption fees and/or assumption application fees) actually paid by the related Mortgagor in accordance with the related Loan Documents, with respect to any assumption or substitution agreement entered into by the Master Servicer or the Special Servicer on behalf of the Trust (or, in the case of a Serviced Loan Combination, on behalf of the Trust and the related Serviced Companion Loan Holder(s)) pursuant to Section 3.09(a) of this Agreement or paid by the related Mortgagor with respect to any transfer of an interest in such Mortgagor pursuant to Section 3.09(a) of this Agreement.
