INSPECTION & ACCEPTANCE. Nonconforming Products” means Products that (i) do not meet the PO Specs to Cardinal’s satisfaction or (ii) cause Seller’s breach of the POT&C. Cardinal (or its designees), at any time, may inspect Products, and repair or replace any Nonconforming Products at Seller’s cost. Any inspections or remedial measures shall take place at a time and place satisfactory to Cardinal. Any payment or conditional acceptance by Cardinal for Products shall not to be construed or deemed as final acceptance by Cardinal. Acceptance or payment will not waive or limit any of Cardinal’s rights or remedies. The Government reserves the right to inspect or test some or all of the services that have been tendered for acceptance. For all Products under the PO, Seller provides, or shall be deemed to provide, the longest of the following: (i) a one (1) year warranty against defects in materials and workmanship, (ii) any warranty agreed to by Cardinal and Seller, or (iii) Seller’s standard warranty with respect to specific Products; the warranty period starts upon delivery and acceptance of Products by Cardinal.

  • Final completion and acceptance means the stage in the progress of the work as determined by the Contracting Officer and confirmed in writing to the Contractor, at which all work required under the contract has been completed in a satisfactory manner, subject to the discovery of defects after final completion, and except for items specifically excluded in the notice of final acceptance.

  • Order Acceptance has the meaning given in clause 1.2.

  • Fax of Acceptance means intimation regarding notification of award by the Employer to the successful Bidder/Service Provider through a Fax/ Letter conveying that the Tender/Bid/Offer has been accepted in accordance with the provisions contained therein.

  • Letter of Acceptance of Tender means letter giving intimation to the tenderer that his tender has been accepted in accordance with the provisions contained in that letter.

  • Confirmation of Acceptance shall have the meaning specified in paragraph 2B(5).
