The Parties hereto agree that the nature of the transactions contemplated by this Agreement are unique, that it is difficult or impossible to determine with precision the specific amount of losses that might be incurred by Lessor and other members of the Lessor Group as a result of an Insolvency Event, that it would be impracticable to fix the actual damages resulting therefrom, and such liquidated damages are fair and reasonable under the circumstances and are not a penalty.
When the Indenture Trustee incurs expenses after the occurrence of an Event of Default specified in Section 5.01(e) or (f) or the Seller incurs expenses after the occurrence of an Insolvency Event with respect to the Seller, the expenses are intended to constitute expenses of administration under Title 11 of the United States Code or any other applicable federal or state bankruptcy, insolvency or similar law.
