Initial Option Grant definition

Initial Option Grant means the automatic award of options under the Plan as set forth in Section 6(h).

Initial Option Grant means that certain option to purchase 20,000 Common Shares pursuant to the Company's 2002 Stock Incentive Plan, granted to each Third Point Designee upon his or her election as a non-employee member of the Board of Directors of the Company.

Initial Option Grant means an Award of Options granted to an Outside Director who meets the specified criteria pursuant to Section 5(b) of the Plan.

Examples of Initial Option Grant in a sentence

• Each Initial Option Grant will vest in a series of 36 successive equal monthly installments over the three-year period measured from the date of grant.

• The Initial Option Grant will vest in a series of thirty-six (36) substantially equal monthly installments after the date of grant, such that the Initial Option Grant will be fully vested on the third anniversary of the date of grant, subject to the Eligible Director’s Continuous Service (as defined in the Plan) on each applicable vesting date.

• The shares subject to each Initial Option Grant will vest on the one year anniversary of the date of grant, subject to the Eligible Director’s Continuous Service (as defined in the Plan) through each such vesting date.

• The “Vesting Commencement Date(s)” for the Option shall be as follows: (A) for the Initial Option Grant, the Vesting Commencement Date shall be March 15, 2019, and (B) for the Milestone Option Grant, the Vesting Commencement Date shall be the date of the Milestone Closing (as defined in the Series B Preferred Stock Purchase Agreement dated as of March 15, 2019 (the “Purchase Agreement”)).
