Initial Net Working Capital Adjustment definition

Initial Net Working Capital Adjustment means (A) the amount, if any, by which the Net Working Capital Threshold Amount exceeds the Estimated Net Working Capital or (B) the amount, if any, by which the Estimated Net Working Capital exceeds the Net Working Capital Threshold Amount.
Initial Net Working Capital Adjustment has the meaning given thereto in Section 3.05(b) hereof.
