Initial Indemnity Escrow Release Date definition

Initial Indemnity Escrow Release Date has the meaning set forth in Section 2.11(c).
Initial Indemnity Escrow Release Date means the date that is eighteen (18) months after the Effective Date. The “Final Indemnity Escrow Release Date” means the date that is twenty-four (24) months after the Effective Date.
Initial Indemnity Escrow Release Date means the date that is eighteen (18) months following the Closing Date. “IRS” means the Internal Revenue Service and any successor thereto.

Initial Indemnity Escrow Release Date means the first anniversary of the Closing Date, together with any interest and earnings accumulated thereon; provided, that for purposes of such calculation, in the event that any amounts are distributed from the Indemnity Escrow Account to Purchaser pursuant to Section 3.01(d), the Indemnity Escrow Amount shall be deemed to be reduced by such amounts.
