Indevus Contingent Stock Rights means contingent stock rights that will be convertible into shares of Indevus common stock if Indevus meets certain product development milestones.
Parent Stock Option means any option to purchase Parent Common Stock granted under any Parent Stock Plan.
Stock Rights means any securities, dividends or other distributions and any other right or property which any Grantor shall receive or shall become entitled to receive for any reason whatsoever with respect to, in substitution for or in exchange for any securities or other ownership interests in a corporation, partnership, joint venture or limited liability company constituting Collateral and any securities, any right to receive securities and any right to receive earnings, in which any Grantor now has or hereafter acquires any right, issued by an issuer of such securities.
Bonus Stock Award means an award of Bonus Stock under this Plan.
Performance Stock Award means a Stock Award granted under the terms and conditions of Section 6(c)(i).
Stock Right means an Award under Article VI of the Plan. A Stock Right may be either a Stock Appreciation Right or a Limited Stock Appreciation Right.
Performance Shares means Shares or an Award denominated in Shares which may be earned in whole or in part upon attainment of performance criteria established by the Administrator.
Restricted Stock Purchase Right means a right to purchase Stock granted to a Participant pursuant to Section 8.
Unrestricted Stock Award means an Award of shares of Stock free of any restrictions.
Restricted Stock Award means an award of shares of Common Stock which is granted pursuant to the terms and conditions of Section 6(a).
Vested Shares means "Vested Shares" as defined in the Award Agreement.
Deferred Stock Award means Awards granted pursuant to Section 8.
Vested Options means the Options that have vested in accordance with Section 2.2 of this Agreement.
Optioned Shares means the common shares of the Company, issuable on exercise of the Option; and
Restricted Stock Units means an Award of stock units subject to such restrictions and conditions as the Administrator may determine at the time of grant.
Restricted Share Award means an award of Restricted Shares.
Company Stock Options shall have the meaning given to such term in Section 3.3(a) hereof.
Stock Reload Option means any option granted under Section 6.3, below, as a result of the payment of the exercise price of a Stock Option and/or the withholding tax related thereto in the form of Stock owned by the Holder or the withholding of Stock by the Company.
Management Stock Capital Stock of the Parent Borrower or any Parent (including any options, warrants or other rights in respect thereof) held by any of the Management Investors.
Company Restricted Stock Award means each award with respect to a share of restricted Company Common Stock outstanding under any Company Stock Plan that is, at the time of determination, subject to forfeiture or repurchase by the Company.
Restricted Shares shall have the respective meanings set forth in Section 2.14.
Restricted Share Units means an Award which may be earned in whole or in part upon the passage of time or the attainment of performance criteria established by the Administrator and which may be settled for cash, Shares or other securities or a combination of cash, Shares or other securities as established by the Administrator.
Restricted Stock Award Agreement means a written agreement between the Company and a holder of a Restricted Stock Award evidencing the terms and conditions of a Restricted Stock Award grant. Each Restricted Stock Award Agreement will be subject to the terms and conditions of the Plan.
INDEPENDENT STOCK APPRECIATION RIGHT or "INDEPENDENT RIGHT" means a right granted pursuant to subsection 8(b)(3) of the Plan.
Parent Stock Plan has the meaning set forth in Section 6.2(a).
Parent Stock Plans has the meaning set forth in Section 4.5(a).
Company Stock Option means any option to purchase Company Common Stock granted under any Company Stock Plan.
