Independent Valuation Expert definition

Independent Valuation Expert has the meaning set forth in Section 9.5(d).
Independent Valuation Expert means a Person who is appointed by JHISE in accordance with clause 7.1(b).
Independent Valuation Expert means Xxxxxxx Lynch, Pierce, Xxxxxx & Xxxxx Incorporated or another nationally recognized investment banking firm of similar quality.

More Definitions of Independent Valuation Expert

Independent Valuation Expert means (a) Merrill Lynch, Pierce, Fenner & Smith Incorporated or (b) another nationally recognized investment banking firm of similar quality approved by each Party (which approval shall not be unreasonably withheld, delayed or conditioned).
Independent Valuation Expert means a valuator (including any affiliated entity) that meets all of the following conditions:
Independent Valuation Expert means Duff & Xxxxxx or, at the election of Purchaser, Valuation Research Corporation or, if each such firm declines the representation or is unable to serve, the office of an impartial nationally recognized investment bank mutually agreed to between Seller and Purchaser.

Independent Valuation Expert means a person retained byICANN (Internet Corporation for Assigned Names and Numbers) tovalue compensation arrangements that: (A) holds itself out to the public as a compensation consultant; (B) performs valuations regarding compensation arrangements on a regular basis, with a majority of its compensation consulting services performed for persons other than I CANN (Internet Corporation for Assigned Namesand Numbers); (C) is qualified to make valuations of the type of services involved in any engagement by and for ICANN (InternetCorporation for Assigned Names and Numbers); (D) issues toICANN (Internet Corporation for Assigned Names and Numbers) a Reasoned Written Opinion regarding a particular compensation arrangement; and (E) includes in its Reasoned Written Opinion a certification that it meets the requirements set forth in (A) through (D) of this definition.
Independent Valuation Expert means a jointly selected partner or senior employee at a nationally recognized independent firm with expertise in asset valuation that is independent and impartial and mutually acceptable to the Seller and the Buyer; provided, however, that if the parties are unable to select such a Person to serve as the Independent Valuation Expert within twenty (20) Business Days of either party’s notice to the other party of an intent to submit a dispute to an Independent Valuation Expert, either party may request that the American Arbitration Association appoint within ten (10) Business Days from the date of such request, or as soon as practicable thereafter, a partner or senior employee at a nationally recognized firm with expertise in asset valuation that would be impartial with respect to applicable disputes arising hereunder.
