Independent Reserve Engineering Evaluators means McDaniel, GLJ and Sproule, independent oil and natural gas reservoir engineers of Calgary, Alberta;
Independent Reserve Engineering Evaluators means McDaniel, GLJ and Sproule, independent oil and natural gas reservoir engineers of Calgary, Alberta; (ff) "Material Agreements" means, collectively, the Administration Agreement, the Direct Royalties Sale Agreements, the Harvest Debenture Indenture, the NPI Agreements, the Trust Indenture and the VERT Debenture Indenture; (gg) "material change", "material fact" and "misrepresentation" have the meanings attributed thereto under applicable Securities Laws; (hh) "McDaniel" means McDaniel & Associates Consultants Ltd., independent oil and natural gas reservoir engineers of Calgary, Alberta; (ii) "Mutual Reliance Procedures" means the mutual reliance review system procedures provided for under National Policy 43-201, Mutual Reliance Review System for Prospectuses, of the Securities Commissions and the securities regulatory authorities of the territories of Canada; (jj) "North Atlantic" means North Atlantic Refining Limited, a private company which owns the Refinery and related marketing division; (kk) "North Atlantic Financial Statements" means, collectively, the audited combined balance sheets of North Atlantic and Vitol Refining S.A. as at December 31, 2005 and 2004 and the combined statements of income, shareholders' equity and cash flows for the years then ended, together with the notes thereto and the auditors' report thereon and the unaudited combined balance sheet of North Atlantic and Vitol Refining S.A. as at June 30, 2006 and the combined statements of income, shareholders' equity and cash flows for the periods ended June 30, 2006 and 2005, together with the notes thereto; (ll) "NPI Agreements" means, collectively, the net profit interest agreement dated July 10, 2002 between Harvest Operations and the Trust as amended, the royalty agreement dated effective January 17, 2003 between WEI and BNY Trust Company of Canada, and the net profit interest agreement dated January 1, 2005 between HBT1 and the Trust as amended and "NPI Agreement" means any one of these agreements, as applicable; (mm) "Offered Debentures" means collectively, the Firm Debentures and the Over-Allotment Debentures; (nn) "Offered Securities" means collectively, the Offered Units and the Offered Debentures; (oo) "Offered Units" means collectively, the Firm Units and the Over-Allotment Units; (pp) "Operating Subsidiaries" means, collectively, Harvest Operations, REP, Breeze Resource Partnership, HBT1, HBT2, Harvest BEL Inc., Hay River Partnership, and North Atlantic (and all direct ...
Independent Reserve Engineering Evaluators means McDaniel, GLJ and PLA, independent oil and natural gas reservoir engineers of Calgary, Alberta, who evaluated the crude oil, natural gas liquids and natural gas reserves of the Operating Subsidiaries as at December 31, 2004, in accordance with the standards contained in the COGE Handbook and the reserve definitions contained in NI 51-101.

  • Independent Engineering Report means a report, in form and substance satisfactory to the Administrative Agent and each of the Lenders, prepared by an Independent Engineer, addressed to the Administrative Agent and the Lenders with respect to the Oil and Gas Properties owned by the Borrower or its Subsidiaries (or to be acquired by the Borrower or any of its Subsidiaries, as applicable) which are or are to be included in the Borrowing Base, which report shall (a) specify the location, quantity, and type of the estimated Proven Reserves attributable to such Oil and Gas Properties, (b) contain a projection of the rate of production of such Oil and Gas Properties, (c) contain an estimate of the net operating revenues to be derived from the production and sale of Hydrocarbons from such Proven Reserves based on product price and cost escalation assumptions specified by the Administrative Agent and the Lenders, and (d) contain such other information as is customarily obtained from and provided in such reports or is otherwise reasonably requested by the Administrative Agent or any Lender.

  • Geotechnical engineer means a professional engineer registered with the Association of Professional Engineers, Geologists, and Geophysicists of the Northwest Territories and whose principal field of specialization is the design and construction of earthworks in a permafrost environment;

  • Value Engineering means the detailed analysis of systems, equipment, materials, services, facilities, and supplies required by the Contract Documents for the purpose of achieving the desired and essential functions of the Owner’s program at the lowest cost consistent with required and necessary performance, longevity, reliability, quality and safety.

  • cost accountant means a cost accountant as defined in clause (b) of sub-section (1) of section 2 of the Cost and Works Accountants Act, 1959 (23 of 1959) and who has obtained a certificate of practice under sub-section (1) of section 6 of that Act;

  • Quality Surveillance Engineer / Inspector means any person appointed by or on behalf of the Purchaser to inspect or carry out quality surveillance on supplies, stores or work under the Contract or any person deputed by the Quality Surveillance Engineer for the said purpose.

  • Independent educational evaluation means an evaluation conducted by a qualified examiner who is not employed by the public agency responsible for the education of the child in question.

  • SBI Engineer means The Civil/Electrical Engineer in-charge of the Project, as nominated by the AGM (P&E), SBI, RAJKOT

  • Engineers Certificate" shall mean a certificate of the Consulting Engineers or of such other engineer or firm of engineers having a favorable repute for skill and experience in the engineering matters with respect to which such certification is required by this Master Indenture.

  • Systems Engineering means preparing specifications, identifying and resolving interface problems, developing test requirements, evaluating test data, and supervising design.

  • Structural Engineer means the Engineer appointed or to be appointed from time to time by Promoter for the preparation of the structural design and drawings of the buildings .

Code Ann., Ch. 1052, a person licensed as a professional engineer pursuant Tex. Occ. Code Ann., Ch. 1001, and/or a firm employed by Owner or Design-Build Contractor to provide professional architectural or engineering services and to exercise overall responsibility for the design of a Project or a significant portion thereof, and to perform the contract administration responsibilities set forth in the Contract.

  • Professional Engineer or Professional Certificated Engineer means a person holding registration as either a Professional Engineer or Professional Certificated Engineer in terms of the Engineering Profession Act, 2000 (Act No. 46 of 2000);

  • Engineering means the application of scientific knowledge for the design, control, or use of building structures, equipment, or apparatus.

  • Banks Engineer means any Engineer who is employed by SBI or any other Engineer appointed from time to time by the Employer, and certified in writing to the Architect and the contractor, to act as Engineer for the purpose of the Contract in place of the said engineer.

  • Approved Petroleum Engineers means (a) Netherland, Xxxxxx & Associates, Inc., (b) Xxxxx Xxxxx Company Petroleum Consultants, L.P. and (c) any other independent petroleum engineers reasonably acceptable to the Administrative Agent.

  • Evaluation rubric means a set of criteria, measures, and processes used to evaluate all teaching staff members in a specific school district or local education agency. Evaluation rubrics consist of measures of professional practice, based on educator practice instruments and student outcomes. Each Board of Education will have an evaluation rubric specifically for teachers, another specifically for Principals, Vice Principals, and Assistant Principals, and evaluation rubrics for other categories of teaching staff members.

  • Architect/Engineer or “A/E” means the Person identified in the Agreement responsible for providing professional design services and construction contract administration for the Project. The A/E shall be (1) a registered architect holding a license and certificate of authorization issued by the Ohio Architects Board pursuant to ORC Chapter 4703, (2) a landscape architect holding a license and certificate of authorization issued by the Ohio Landscape Architects Board pursuant to ORC Chapter 4703, or (3) a professional engineer or professional surveyor holding a license and certificate of authorization issued by the Ohio Engineers and Surveyors Board pursuant to ORC Chapter 4733. As used in the Agreement, the term A/E may include a criteria architect or engineer for a Design-Build project.
