Indemnity Escrow Funds definition

Indemnity Escrow Funds means all funds then held in the Indemnity Escrow Account (which funds shall include the Indemnity Escrow Amount, any interest earned thereupon, and less any distributions from the Indemnity Escrow Account).

Indemnity Escrow Funds means the amount of cash held from time to time by the Escrow Agent in the Indemnity Escrow Account pursuant to the Escrow Agreement.

Indemnity Escrow Funds means that portion of the Escrow Funds attributable to the Indemnity Escrow Amount.

• The Adjustment Escrow Funds, the Employee Liability Escrow Funds and the Indemnity Escrow Funds shall be held, invested and distributed in accordance with the terms of this Agreement and the Escrow Agreement.

• In the event that such adjustment is larger than the Working Capital Adjustment Escrow and the General Indemnity Escrow Funds, each Escrow Participant will pay to Parent such Escrow Participant’s Allocable Portion of such amount.

• If the Indemnity Escrow Funds are insufficient to pay any amount owed to the Purchaser under this Section 2.05, any excess amount shall be paid to the Purchaser directly from each Shareholder (on a joint and several basis) based on each Shareholder’s Pro Rata Share of such obligation.

More Definitions of Indemnity Escrow Funds

Indemnity Escrow Funds means the amount of funds in the Indemnity Escrow Account from time to time.

Indemnity Escrow Funds means an amount of cash, equal to two and one-half percent (2.5%) of the Enterprise Value, to be held by the Escrow Agent in the Indemnity Escrow Account, in accordance with the terms and conditions of the Escrow Agreement.
