The Indemnitee shall not compromise or settle any claim or suit, or admit any liability, or voluntarily incur any expense with respect to any such claim or suit, in each case, without the prior written consent of the Indemnitor, which the Indemnitor shall not be required to give.
The Indemnitee shall cooperate with the Indemnitor and its legal representatives in the investigation of any action, claim or liability covered by this Article 11.
After notice from an Indemnitor to the Indemnitee of its election to assume the defense of such claim or action, except to the extent provided in the following paragraph, such Indemnitor shall not be liable to the Indemnitee under this Section 11.2 for any fees and expenses of counsel subsequently incurred by the Indemnitee in connection with the defense thereof other than reasonable costs of investigation.
The Indemnitor shall have the right to control the defense of any indemnification claim using counsel of its choice as long as such counsel is reasonably acceptable to Indemnitee; provided, however, that any Indemnitee shall have the right to retain its own counsel at its own expense, for any reason, including if representation of any Indemnitee by the counsel retained by the Indemnitor would be inappropriate due to actual or potential differing interests between such Indemnitee and Indemnitor.
