Income Tax Benefit Amount definition

Income Tax Benefit Amount means an amount equal to 40% multiplied by the aggregate amount of the income Tax deductions that arise in connection with the payment of (a) the Option Consideration and (b) the types of Company Transaction Expenses set forth on Exhibit C but, in any event, not to exceed $5,000,000 in the aggregate.
