Incentive Unit Agreement definition

Incentive Unit Agreement means the Incentive Unit Agreement, entered into effective as of May 11, 2012, by and between the Partnership and SPH SPV-I LLC, a Delaware limited liability company.

Incentive Unit Agreement means an agreement between a Member and the Company evidencing an award of Incentive Units.

Incentive Unit Agreement means any written agreement, contract, or other instrument or document in a form approved by the Board, which evidences any Incentive Units awarded hereunder or otherwise subject to the terms of the Incentive Plan, which may, but need not, be executed or acknowledged by a Participant.

• All property (valued at fair market value, as determined by the General Partner) and all cash in excess of that amount required to discharge liabilities as provided in Section 12.4(b) shall, subject to Article XVI, be distributed to the Partners in accordance with their respective Percentage Interests as of a Record Date selected by the Liquidator, except as provide in Section 5.4(f) and in Section 2(a)(viii) of the Incentive Unit Agreement.

More Definitions of Incentive Unit Agreement

Incentive Unit Agreement means that certain Incentive Unit Agreement dated as of the date hereof among Holdings and the trust created pursuant to the Xxxxxx X. Xxxxxx Declaration of Trust dated 01/19/1999 (the “DGD Trust”) and the trust created pursuant to the Xxxxxxxxx X. Xxxxxx Declaration of Trust dated 01/19/1999.

Incentive Unit Agreement means the agreement described in Section 10 evidencing each Award of Incentive Units.

Incentive Unit Agreement means that certain Incentive Unit Agreement dated as of the date hereof among Holdings and Executive.

Incentive Unit Agreement means with respect to each Member holding Incentive Units, that certain agreement dated as of the date of issuance of such Member’s Incentive Units between the Company and such Member.

Incentive Unit Agreement means this Incentive Unit Agreement, as amended from time to time.

Incentive Unit Agreement means each of the Incentive Unit Agreements by and between the Company and certain Persons to whom Class B Common Units may be issued from time to time either on the date hereof or in the future, as in effect from time to time.
