Incentive Member definition

Incentive Member means Laramie Energy Employee Holdings, LLC, a Delaware limited liability company (f/k/a Piceance Energy Employee Holdings, LLC).
Incentive Member means each Member holding Incentive Interests.
Incentive Member has the meaning ascribed to it in Section 2.8(b).

Examples of Incentive Member in a sentence

  • Any amount that would otherwise be distributed to an Incentive Member pursuant to Section 5.02 but for the application of the preceding sentence shall instead be retained in a segregated Company account to be distributed in accordance with this Article V by the Company and paid to such Incentive Member if, as and when the Unvested Unit to which such retained amount relates vests pursuant to Section 3.05.

  • Notwithstanding the distribution priority and entitlements set forth in Section 5.02, no distribution shall be made to an Incentive Member on account of an Incentive Unit held by such Incentive Member that has not vested pursuant to Section 3.05 (such Unit an “Unvested Unit”).

  • Each Incentive Member shall be required to file an election pursuant to Section 83(b) of the Code (a “Section 83(b) Election”) with respect to its Incentive Units no later than ten days after receipt of such Incentive Units.

More Definitions of Incentive Member

Incentive Member means each Person admitted as a Member of the Company as a holder of Incentive Units, whose name is set forth on Exhibit A hereto as an Incentive Member with respect to Incentive Units held by such Person, and any other Person admitted as an additional or substitute Incentive Member, so long as such Person remains an Incentive Member.
Incentive Member means any Member that holds Incentive Units, in its capacity as a holder of Incentive Units.
Incentive Member means each Member holding Incentive Interests. “Indemnified Party” has the meaning set forth in Section 13.7(c). “Indemnifying Member” has the meaning set forth in Section 7.4. “Indemnifying Parties” has the meaning set forth in Section 13.7(c). “Independent Investment Bank” has the meaning set forth in Section 11.8(c).
Incentive Member has the meaning assigned to it in Recital C.
Incentive Member means any Member who holds Incentive Units issued pursuant to the terms hereof and of the applicable Unit Plan. Each Incentive Member is a Member for all purposes of this Agreement and otherwise, unless the applicable Unit Plan provides otherwise.

To qualify for a group wellness incentive award, you must meet the following program participation conditions: • You are a group eligible to offer the program as determined by Blue Cross and Blue Shield; and • You elect to offer the Blue Cross and Blue Shield wellness incentive program to your Members who are eligible to participate in the program at the start of your policy year and you continue the program for eligible Members through the end of the policy year; and • At least 20% of your Members who are eligible for the program must participate in the program during the policy year in which you offer the wellness incentive program; and • This Agreement is not be terminated before the end of the policy year in which you offer the wellness incentive program. When you offer a Blue Cross and Blue Shield wellness incentive program, Blue Cross and Blue Shield will determine if you qualify for a group incentive award within 90 days after the end of the policy year. Your group wellness incentive award will be calculated as a percentage of the total medical insurance premium you paid for the policy year for benefits plans for which you offer wellness incentive program participation, excluding any premium payments that are received by Blue Cross and Blue Shield after the end of the policy year. The percentage used to calculate your wellness incentive award will vary depending on how many of your eligible Members participate in the program during the policy year as follows: 1.25% when 20% to 49% of eligible Members participate; or 2.5% when 50% to 79% of eligible Members participate; or 7.5% when 80% to 100% of eligible Members participate. For the purpose of calculating your group wellness incentive award, an eligible Member who earns his or her individual maximum member wellness incentive payment in the policy year is considered to have participated in the program for that policy year. If you qualify for a group incentive award, Blue Cross and Blue Shield will issue the incentive amount to you (by means of a credit and/or a check) once the incentive amount has been calculated. You are solely responsible for determining whether you have any obligation to distribute all or part of your group wellness incentive award to your employees, or to credit a portion of your group wellness incentive award toward their benefits, or otherwise to notify them of your group wellness incentive award. You agree to indemnify and hold Blue Cross and Blue Shield harmless from any and all actions that may be brought against you or Blue Cross and Blue Shield due to your failure to provide any required distribution of, credit, or notification about, your group wellness incentive award to your employees.

  • incentive plan award means compensation awarded, earned, paid, or payable under an incentive plan;

  • Covered service member means a member of the Armed Forces, including a member of the National Guard or Reserves, who is undergoing medical treatment, recuperation, or therapy, is otherwise in outpatient status, or is otherwise on the temporary disability retired list, for a serious injury or illness.

  • Potential Member means an individual who meets the eligibility requirements to enroll in the Oregon Health Plan but has not yet enrolled with a specific PHP or CCO.

  • Incentive Compensation Plan means any plan, agreement or other arrangement that provides for the grant or issuance of equity or equity-based awards and that is now in effect or is hereafter adopted by the Company or the Managing Member for the benefit of any of their respective employees or other service providers (including directors, advisers and consultants), or the employees or other services providers (including directors, advisers and consultants) of any of their respective Affiliates or Subsidiaries.

  • LTIP Unitholder means a Partner that holds LTIP Units.

  • Incentive Pay means an annual amount equal to the aggregate annual bonus, in addition to Base Pay, made or to be made in regard to services rendered in any calendar year or performance period pursuant to any bonus plan of the Company.
