Incentive Award Opportunity definition

Incentive Award Opportunity means the range of an Actual Award available to each Participant in this Plan for a given Performance Period.
Incentive Award Opportunity means the total potential cash compensation opportunity underlying an Award for a Performance Period ranging from zero to two times (0%-200%) a Participant’s Incentive Target Percentage.
Incentive Award Opportunity means the award that may be earned at various levels (Threshold, Target and Maximum) based on the Plan year results, the Eligibility Level, and Performance Mix and other factors detailed in this Plan.

Examples of Incentive Award Opportunity in a sentence

  • In determining the Key Employees that will be Participants and the Incentive Award Opportunity for each Participant, the Committee shall take into account the duties of the respective Participant, their present and potential contributions to the success of the Company, and such other factors as the Committee shall deem relevant in connection with accomplishing the purpose of the Plan.

  • In special circumstances, which the Committee may identify from time to time, the Participant may be assigned for the full Performance Period the Incentive Award Opportunity that corresponds to any one of the jobs held by the Participant during the Performance Period rather than combining partial Incentive Award Opportunities for the jobs.

  • The Committee will establish, in writing, the Incentive Award Opportunity for each Participant or class of Participants designated by the Committee.

  • If a Participant changes jobs with the Company during the course of a Performance Period and his or her new job has a different Incentive Award Opportunity under the Plan, the Participant’s Incentive Award Opportunity for the Performance Period shall be the sum of the products obtained by multiplying (i) the percentage of the full Performance Period spent in each job by (ii) the Incentive Award Opportunity for each such job.

  • Before or within the first 90 days of each Performance Period a Participant will be assigned a specific Target Award that will fall within the range of the Participant’s Incentive Award Opportunity.

  • Should a Key Employee become eligible to participate in the Plan after the beginning of a Performance Period, the Participant will be entitled to an Incentive Award Opportunity on the basis of the number of months of the full Performance Period the Key Employee is a Participant in the Plan.

  • An Incentive Award Opportunity will range from zero to some specific maximum percentage of the Participant’s Annual Base Salary (or maximum dollar amount).

  • The Incentive Award Opportunity will be expressed as percentages of the Participant’s Annual Base Salary.


More Definitions of Incentive Award Opportunity

Incentive Award Opportunity means, effective starting with the 2021 performance year, the total potential cash compensation opportunity underlying an Award for a Performance Period ranging from zero to two and one-half times (0%-250%) a Participant’s Incentive Target Percentage. “Incentive Target Percentage” shall mean the targeted level of compensation underlying an Award granted to a Participant for a Performance Period, expressed as a percentage of the Participant’s Eligible Earnings.
Incentive Award Opportunity means the Incentive Award range (Threshold - Target - Maximum) that may be earned by a Plan Participant.
Incentive Award Opportunity means the Participant's opportunity to earn specified amounts based on performance during a Performance Period. An Incentive Award Opportunity constitutes a conditional right to receive settlement of an Award.

Related to Incentive Award Opportunity

  • Incentive Award means the right to receive a cash payment to the extent Performance Goals are achieved, and shall include “Annual Incentive Awards” as described in Section 10 and “Long-Term Incentive Awards” as described in Section 11.

  • Performance Compensation Award means any Award designated by the Committee as a Performance Compensation Award pursuant to Section 11 of the Plan.

  • Cash Award means an award denominated in cash.

  • Performance Award means any right granted under Section 6(d) of the Plan.

  • Target Award means the target award, at 100% of target level performance achievement, payable under the Plan to a Participant for the Performance Period, as determined by the Committee in accordance with Section 3(b).

  • Clawback Eligible Incentive Compensation means all Incentive-based Compensation Received by an Executive Officer (i) on or after the effective date of the applicable Nasdaq rules, (ii) after beginning service as an Executive Officer, (iii) who served as an Executive Officer at any time during the applicable performance period relating to any Incentive-based Compensation (whether or not such Executive Officer is serving at the time the Erroneously Awarded Compensation is required to be repaid to the Company), (iv) while the Company has a class of securities listed on a national securities exchange or a national securities association, and (v) during the applicable Clawback Period (as defined below).
