Examples of IAMGold Group Companies in a sentence

  • There are no outstanding contractual obligations of IAMGold or of any of the IAMGold Group Companies to repurchase, redeem or otherwise acquire any outstanding IAMGold Common Shares or with respect to the voting or disposition of any outstanding IAMGold Common Shares.

  • All of the outstanding shares of the IAMGold Group Companies are validly issued, fully paid and non-assessable.

  • There are no outstanding bonds, debentures or other evidences of indebtedness of IAMGold or any of the IAMGold Group Companies having the right to vote with the IAMGold Shareholders on any matter.

  • Seller Group Member means (a) Seller and its Affiliates, (b) directors, officers and employees of Seller and its Affiliates and (c) the successors and assigns of the foregoing.

  • Acquired Company means any business, corporation or other entity acquired by the Company or any Subsidiary.

  • Transferred Entities means the entities set forth on Schedule 1.5.

  • Acquired Entities means the Company and the Company Subsidiaries.

  • Project Companies means all Group Project Companies and Non-Group Project Companies together, each being a “Project Company”.

  • Seller’s Group means the Seller and any company which is, on or after the date of this Agreement, a subsidiary or holding company of the Seller or a subsidiary of a holding company of the Seller, and excludes, for the avoidance of doubt, any Group Company, and "Seller's Group Company" shall be construed accordingly.

  • Company Subsidiaries means the Subsidiaries of the Company.

  • Seller Subsidiaries means the subsidiary partnerships of the McNeil Partnerships listed on Annex G to this Agreement (the "Subsidiary Partnerships") and the subsidiary corporations listed on Annex F to this Agreement (the "Subsidiary Corporations") which hold GP Interests in certain of the Subsidiary Partnerships.

  • PRC Companies means, collectively, all entities listed in Appendix A hereof, and each, a “PRC Company”.

  • Company Entities means the Company and the Company Subsidiaries.

  • Company Group Member means Company or any Company Affiliate;

  • Seller Group means, at any time, the group of companies comprised of Xxxxx Fargo & Company and its subsidiaries at that time.

  • Buyer Group Member means the Buyer, its Affiliates, and each of their successors and assigns, and their respective directors, officers, employees and agents.

  • Seller Entities means, collectively, Seller and all Seller Subsidiaries.

  • Purchaser’s Group means the Purchaser, its subsidiaries and subsidiary undertakings, any holding company of the Purchaser and all other subsidiaries of any such holding company from time to time;

  • Founding Companies has the meaning set forth in the third recital of this Agreement.

  • Minority group member means a United States citizen or permanent resident alien who is and can demonstrate membership in one of the following groups:

  • Operating Companies means, collectively, the Creekside Operating Company, the Mentone Operating Company and the Yucaipa Operating Company. “Operating Company” means any of the Operating Companies.
