HY Noteholders Trustee definition

HY Noteholders Trustee means the “HY Noteholders Trustee” as defined in each Existing Intercreditor Agreement.
HY Noteholders Trustee means, with respect to any Series of HY Notes Obligations, any person that is, from time to time, acting as trustee under any HY Notes Indenture relating to such Series of HY Notes Obligations, and which is a Party, or becomes a Party in accordance with Clause 22.3 (Accession of Parties), until such time as it ceases to be a Party in accordance with Clause 22.4 (HY Noteholders Trustee and Representatives).

  • The Applicable First Lien Representative may rely conclusively, and shall be fully protected in so relying, on any determination made by it in accordance with the provisions of the preceding sentence (or as otherwise directed by a court of competent jurisdiction) and shall have no liability to any Grantor, any Secured Party, [any HY Noteholders Trustee] or any other person as a result of such determination.

  • Furthermore, prior to taking any action under this Agreement, a HY Noteholders Trustee may reasonably request and rely upon an opinion of counsel or opinion of another qualified expert, at the Company's expense.

  • Note Trustee means the Person identified as the “Trustee” in the Indenture, solely in its capacity as Trustee pursuant to the Indenture and not in its individual capacity, or its successor in interest in such capacity, or any successor Trustee appointed as provided in the Indenture.

  • Indenture Trust Estate means all money, instruments, rights and other property that are subject or intended to be subject to the lien and security interest of the Indenture for the benefit of the Noteholders (including all Collateral Granted to the Indenture Trustee), including all proceeds thereof.
