HXXX Group definition

HXXX Group shall have the meaning set forth in the Separation and Distribution Agreement.

Examples of HXXX Group in a sentence

  • HXXX shall, and shall cause the other members of the HXXX Group to, jointly and severally, indemnify, defend and hold harmless the HBIO Indemnitees from and against any and all Liabilities of the HBIO Indemnitees relating to Third-Party Claims that any of the New HXXX Technology infringes upon or misappropriates the Intellectual Property of any Third Party.

  • For avoidance of any doubt, any Intellectual Property, Technology and related Know-How developed by HXXX in the HXXX Business after such five-year period (the “Future HXXX Technology) will not be subject to this Section 4.2. The foregoing exclusive license grant shall not exclude or limit any member of the HXXX Group from their continued use of the New HXXX Technology , subject to Article IX hereof.

  • HXXX will, and will cause each member of the HXXX Group organized in the U.S. to, maintain a fiscal year that commences and ends on the same calendar days as HBIO’s fiscal year commences and ends, and to maintain monthly accounting periods that commence and end on the same calendar days as HBIO’s monthly accounting periods commence and end.

  • Except as expressly provided otherwise in this Agreement, nothing in this Agreement shall preclude HXXX or any other entity in the HXXX Group, at any time after the Separation Date, from amending, merging, modifying, terminating, eliminating, reducing, or otherwise altering in any respect any HXXX Benefit Plan, any benefit under any HXXX Benefit Plan or any trust, insurance policy or funding vehicle related to any HXXX Benefit Plan.

  • Following the Separation Date, HXXX hereby agrees to promptly, and in event prior to the Distribution Date or later period that HBIO agrees to provide related transition services pertaining to such foreign Transferred Employees to HXXX, transfer such foreign Transferred Employees to the appropriate members of the HXXX Group.

  • All HXXX Employees shall continue to be employees of HXXX or another member of the HXXX Group, as the case may be, immediately after the Separation Date.

  • Unless required by applicable Law, HXXX will not publicly release any financial or other information which conflicts with the information with respect to any HXXX Group member that is included in any HBIO Public Filing without HBIO’s prior written consent.

  • HXXX and HBIO will consult with each other as to the timing of their annual and quarterly earnings releases and any interim financial guidance for a current or future period and will give each other the opportunity to review the information therein relating to the HXXX Group and to comment thereon.

  • No member of the HXXX Group shall change its independent auditors without HBIO’s prior written consent, which shall not be unreasonably withheld or delayed.

  • Prior to any printing or public release of any HBIO Public Filing, an appropriate executive officer of HXXX will, if requested by HBIO, certify that the information relating to any HXXX Group member in such HBIO Public Filing is accurate, true, complete and correct in all material respects.

Related to HXXX Group

  • Xxxx Group means collectively Xxxx Capital Fund V, L.P., Xxxx Capital Fund V-B, L.P., BCIP Associates, BCIP Trust Associates, L.P. and Xxxxxxxx Street Partners.

  • Xxxxx Group means Xxxxx and any Affiliate of Xxxxx.

  • Xxxxxx Group shall have the meaning set forth in Section 9.2(b) hereof.

  • Xxxxxxx Group means (a) any member of the Xxxxxxx Family and (b) any Related Person of any such member.

  • SAP Group means SAP Parent and any of its Associated Companies.

  • Tax Group means any federal, state, local or foreign consolidated, affiliated, combined, unitary or other similar group of which the Acquiror Company is now or was formerly a member.

  • SpinCo Group means (a) prior to the Effective Time, SpinCo and each Person that will be a Subsidiary of SpinCo as of immediately after the Effective Time, including the Transferred Entities, even if, prior to the Effective Time, such Person is not a Subsidiary of SpinCo; and (b) on and after the Effective Time, SpinCo and each Person that is a Subsidiary of SpinCo.

  • Remainco Group means RemainCo and its Subsidiaries, other than the SpinCo Group.

  • Seller Group means, at any time, the group of companies comprised of Xxxxx Fargo & Company and its subsidiaries at that time.

  • Target Group means the Target and its Subsidiaries.

  • MNE Group means any Group that (i) includes two or more enterprises the tax residences of which are in different jurisdictions, or includes an enterprise that is resident for tax purposes in one jurisdiction and is subject to tax with respect to the business carried out through a permanent establishment in another jurisdiction, and (ii) is not an Excluded MNE Group;

  • SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”

  • Seller’s Group means the Seller and any company which is, on or after the date of this Agreement, a subsidiary or holding company of the Seller or a subsidiary of a holding company of the Seller, and excludes, for the avoidance of doubt, any Group Company, and "Seller's Group Company" shall be construed accordingly.

  • DBS Group means any of DBS’s subsidiaries, DBS’s holding company and any subsidiaries of DBS’s holding company;

  • SpinCo shall have the meaning set forth in the Preamble.

  • Service Group means any one or more (as the context may require) of the service groups described in this Schedule;

  • Transferred Entities means the entities set forth on Schedule 1.5.

  • Client Group means Client, any corporate body of which Client is a subsidiary (as defined by s. 1159 of the Companies Act 2006), any other subsidiary of such corporate body and any subsidiary of Client;

  • Customer Group means, collectively, Customer, its parents and Affiliates, its Agents, and its and their respective managing members, general and limited partners, officers, directors, employees, and other representatives.

  • Group Companies means the Company and its Subsidiaries.

  • Parent Group has the meaning set forth in Section 8.03(c).

  • Combined Group means a group of corporations or other entities that files a Combined Return.

  • Seller Group Member means (a) Seller and its Affiliates, (b) directors, officers and employees of Seller and its Affiliates and (c) the successors and assigns of the foregoing.

  • Peer Group Companies means the following companies: .

  • User Group means (a) you; (b) any entity or individual that Stripe reasonably determines is associated with you; and (c) each of your and their Affiliates; that has entered into an agreement with Stripe (or an Affiliate of Stripe) under which Stripe or its Affiliate provides services.

  • Acquired Companies means, collectively, the Company and the Company Subsidiaries.
