HudBay Public Disclosure Record means all documents and information filed by HudBay on SEDAR during the three (3) years prior to the date hereof;
HudBay Public Disclosure Record means all documents and information required to be filed by HudBay under applicable Securities Laws on the System for Electronic Document Analysis Retrieval (SEDAR), during the three years prior to the date hereof;

  • There has been no material reduction in the aggregate amount of estimated mineral reserves or estimated mineral resources of HudBay or the Material HudBay, taken as a whole, from the amounts disclosed in the HudBay Public Disclosure Record other than as a result of mining activities undertaken in the ordinary course.

  • Since December 31, 2007 except as disclosed in the HudBay Public Disclosure Record, there has been no material change in respect of HudBay and its subsidiaries, taken as a whole, and there has been no dividend or distribution of any kind declared, paid or made by HudBay on any HudBay Shares.

  • HudBay has filed all documents in the HudBay Public Disclosure Record required to be filed by it in accordance with applicable Securities Laws with the Securities Authorities or the Exchange.

  • Public Disclosure Documents means, collectively, all of the documents which have been filed by or on behalf of the Company prior to the Time of Closing with the relevant Securities Regulators pursuant to the requirements of Securities Laws and available for viewing on the Company's profile on xxx.xxxxx.xxx;

  • Public Disclosure means disclosure in a press release reported by the Dow Jones News Service, Associated Press or comparable national news service or in a document publicly filed by the corporation with the Securities and Exchange Commission pursuant to Section 13, 14 or 15(d) of the Exchange Act.

  • SEC Filings has the meaning set forth in Section 4.6.

  • Parent Reports has the meaning set forth in Section 4.5(a).

  • Current Report shall have the meaning assigned to such term in Section 2.3.

  • Public Filings means the reports, schedules, forms, statements and other documents filed by the Company or Bezeq with the SEC or the ISA, as applicable, and publically available at least two (2) Business Days prior to the date of this Agreement.

  • Risk Disclosure Statement the risk disclosure statement provided by the Broker to the Client before the opening of the Account and/or from time to time in form prescribed by the SFC from time to time with the current version set out in Part IV;

  • Disclosure Time means, (i) if this Agreement is signed on a day that is not a Trading Day or after 9:00 a.m. (New York City time) and before midnight (New York City time) on any Trading Day, 9:01 a.m. (New York City time) on the Trading Day immediately following the date hereof, unless otherwise instructed as to an earlier time by the Placement Agent, and (ii) if this Agreement is signed between midnight (New York City time) and 9:00 a.m. (New York City time) on any Trading Day, no later than 9:01 a.m. (New York City time) on the date hereof, unless otherwise instructed as to an earlier time by the Placement Agent.

  • Information Statement has the meaning set forth in Section 6.6.

  • Form 8-K Disclosure Information As defined in Section 11.07.

  • Press Release has the meaning set forth in Section 4.5.

  • Company SEC Documents shall have the meaning set forth in Section 4.7(a).

  • Public record or "public records" shall mean all documents, papers, letters, maps, books, photographs, films, sound recordings, magnetic or other tapes, electronic data-processing records, artifacts, or other documentary material, regardless of physical form or characteristics, made or received pursuant to law or ordinance in connection with the transaction of public business by any agency of North Carolina government or its subdivisions. Agency of North Carolina government or its subdivisions shall mean and include every public office, public officer or official (State or local, elected or appointed), institution, board, commission, bureau, council, department, authority or other unit of government of the State or of any county, unit, special district or other political subdivision of government.

  • Company SEC Reports shall have the meaning set forth in Section 3.8(a).

  • Proxy Statement has the meaning set forth in Section 6.03(a).

  • Public Documents As defined in Section 4.02(a) of this Agreement.

  • Disclosure Statement means the written disclosure statement that relates to this Plan, as approved by the Bankruptcy Court pursuant to section 1125 of the Bankruptcy Code and Bankruptcy Rule 3017, as such disclosure statement may be amended, modified or supplemented from time to time.

  • Company Proxy Statement has the meaning set forth in Section 3.5.

  • Disclosure Order has the meaning set forth in Section 10.7.

  • Closing Press Release has the meaning set forth in Section 5.4(b).

  • Shareholder Materials means the Fund’s prospectus, statement of additional information and any other materials relating to the Fund provided to Fund shareholders by the Fund.

  • 8-K Filing has the meaning set forth in Section 4.5.

  • Public statement means a statement made in the ordinary course of business of the public body with the intent that all other members of the public body receive it.

  • SEC Documents shall have the meaning specified in Section 4.5.

  • Public Reports includes all reports filed by Company under the Act or the Exchange Act, including pursuant to Section 13(a) or 15(d) thereof, for the two full fiscal years preceding the Effective Date and thereafter.
