HSI Closing definition

HSI Closing means the closing of the HSI Public Offering.

  • A Participant may elect to exercise one or more Options by giving written notice to the Committee at any time subsequent to an HSI Closing of such election and of the number of Options such Participant has elected to exercise, accompanied by payment in full of the aggregate Purchase Price for the number of shares for which the Options are being exercised.

  • In the case of Options not immediately exercisable in full, the Committee may at any time accelerate the time at which all or any part of the Options may be exercised and may waive any other conditions to exercise, subject to the terms of the Option Agreement and the Plan, and provided that the Committee may not accelerate the exercise date prior to the HSI Closing.

  • No Options may be granted hereunder and all outstanding Options shall terminate on January 1, 2000 if the HSI Closing has not occurred by such date.

  • Merger Closing shall have the meaning set forth in Section 2.2.

  • Option Closing means the closing of the purchase and sale of the Option Shares pursuant to Section 2.2.

  • Final Closing means the last closing under the Private Placement;

  • Put Closing shall have the meaning set forth in Section 2.3.8.

  • Merger Closing Date the Closing Date (as defined in the Merger Agreement).

  • Closing means the closing of the purchase and sale of the Securities pursuant to Section 2.1.

  • Second Closing Date has the meaning set forth in Section 1.3.

  • Acquisition Closing Date means the “Closing Date” under and as defined in the Acquisition Agreement.

If any Optional Shares are to be purchased, each Underwriter agrees, severally and not jointly, to purchase the number of Optional Shares (subject to such adjustments to eliminate fractional shares as the Representatives may determine) that bears the same proportion to the total number of Optional Shares to be purchased as the number of Firm Shares set forth on Schedule A opposite the name of such Underwriter bears to the total number of Firm Shares. The Representatives may cancel the option at any time prior to its expiration by giving written notice of such cancellation to the Company.

  • Third Closing Date has the meaning set forth in Section 2.2(c).

  • Option Closing Date shall have the meaning ascribed to such term in Section 2.2(c).

  • Series Closing Date means the date designated as such in the Series Term Sheet.

  • Time of Closing means 10:00 a.m. (Vancouver time) on the Closing Date, or such other time as the parties may mutually determine;

  • Offer Closing Date has the meaning set forth in Section 1.01(f).

  • Plant closing means the closing of a plant site or other corporate location that directly results in termination of the Grantee’s Service.

  • Target Closing Date means three (3) Business Days following receipt of the Approval and Vesting Order, or such other date as the Parties may agree.

  • Additional Closing has the meaning set forth in Section 2.3.

  • Initial Closing Date shall have the meaning assigned to such term in Section 1.2 hereof.

  • Tender Closing Date means the date and time set out in column (C) of Part 1 of the Schedule to the Tender Notice;

  • Subsequent Closing Date means, with respect to each Subsequent Closing, the date on which such Subsequent Closing is deemed to have occurred.
