UCC Financing Statement A financing statement filed, or to be filed, pursuant to the UCC.
Financing Statement means a record or records composed of an initial financing statement and any filed record relating to the initial financing statement.
UCC Financing Statements means collectively the Lender Financing Statements and the Lessor Financing Statements.
Financing Statements The meaning specified in Section 9-102(a)(39) of the UCC.
Filing Statement means this filing statement, together with all appendices attached hereto and including the summary hereof;
Filing Statements is defined in Section 5.1.13.
UCC Filing Collateral means any Collateral, including Collateral constituting investment property, for which a security interest can be perfected by filing a UCC-1 financing statement.
Post-Closing Statement has the meaning set forth in Section 3.3(c).
Offering Statement means the offering statement on Form 1-A (File No. [_________]) filed by the Company with the Commission on [_________], and the offering circular filed pursuant to Rule 253(g)(2) of the Securities Act on [_________], pursuant to which the Company has qualified for sale a maximum of $50,000,000 of its Common Shares under Regulation A of the Securities Act, as such offering statement may be amended or supplemented from time to time, or such other offering statements that the Company may qualify or register under the Securities Act from time to time.
Draft Closing Statement means a draft closing statement, prepared by Seller, as of the close of business of the third (3rd) business day preceding the Closing Date setting forth an estimated calculation of both the Purchase Price and the Estimated Payment Amount.
Billing Statement means the billing statement for your Account.
Listing Statement means the listing statement of Purchaser pertaining to the Transaction and in the form prescribed by the CSE;
Pre-Closing Statement has the meaning set forth in Section 2.4(a).
Payoff statement means a written statement furnished by the mortgage servicer which sets forth all of the following:
Operating Statement shall have the meaning given to such term in Section 10.5.
Final Closing Statement has the meaning set forth in Section 2.5(d).
Security Agreement Collateral means all "Collateral" as defined in the Security Agreement.
Security Agreement Supplement has the meaning specified in the Security Agreement.
Second Lien Mortgage Loan A Mortgage Loan secured by a second lien Mortgage on the related Mortgaged Property.
Mortgage Supporting Documents means, with respect to a Mortgage for a parcel of Real Property, each the following:
Collateral Trust Joinder means (i) with respect to the provisions of this Agreement relating to any Additional Parity Lien Debt, an agreement substantially in the form of Exhibit B, and (ii) with respect to the provisions of this Agreement relating to the addition of additional Grantors, an agreement substantially in the form of Exhibit C.
Intellectual Property Security Agreement Supplement has the meaning specified in the Security Agreement.
Preliminary Closing Statement has the meaning specified in Section 2.3(a)(ii).
Initiating state means a state in which a proceeding pursuant to this or a substantially similar reciprocal law is commenced.
Estimated Closing Statement has the meaning set forth in Section 2.4(a).
Closing Statement means the Closing Statement in the form on Annex A attached hereto.
