Hotel System definition

Hotel System means the concept and system associated with the establishment and operation of Hyatt Place Hotels, as Hyatt periodically modifies it. The Hotel System now includes: (a) the Proprietary Marks; (b) all Copyrighted Materials; (c) all Confidential Information; (d) the Design Standards; (e) the CRS; (f) the required or authorized GDS and ADS; (g) the National Directory; (h) management, personnel, and operational training programs, materials, and procedures; (i) System Standards described in the Manual or in other written or electronic communications; and (j) marketing, advertising, and promotional programs.
Hotel System means the method, to be developed, of (a) operation of the Hotel and (b) conforming the Casino with the Hard Rock Elements, to be operated pursuant to the terms of this Agreement. Licensor will own the rights in the Hotel System and the Manuals which are developed by the Licensor. Licensor will consult with Licensee, or Licensee's designated agent, to develop and implement the Hotel System, and all subsequent modifications to the Hotel System and Manuals. The Hotel System shall be commercially reasonable in accordance with Comparable Standards, and in no event shall it require any more onerous obligations, responsibilities and expense of Licensee than Licensee would have in creating and operating the hotel/casino in Las Vegas currently operated under the Hard Rock brand, as it exists as of the date of this Agreement. Notwithstanding the foregoing, and for the avoidance of doubt, the Hotel System and Manuals shall not address Gaming or any procedures or policies for the operation of Gaming.
Hotel System means those procedures, standards, specifications, controls, systems, manuals, guides, and other distinguishing elements or characteristics which Licensor and its Affiliates have developed in connection with the operation of Hard Rock Hotels, including, without limitation, the Licensed Marks, the Manuals, the Hard Rock Development Standards, the Management Standards, the Hard Rock Elements, the Reservation System and any proprietary software, as such may from time to time be modified by Licensor. Licensee acknowledges and agrees that Licensor and its Affiliates have the exclusive rights to and in the Hotel System (and all parts thereof).

Examples of Hotel System in a sentence

  • The examples below assume that the indoor temperature remains constant.

  • You acknowledge and shall not contest, either directly or indirectly, either during the License Term or thereafter: (i) our exclusive right to both use and grant licenses to use the Hotel System and any element(s) or component(s) thereof; (ii) that we are the owner or exclusive licensee of all right, title and interest in and to the Proprietary Marks together with the goodwill they symbolize; or (iii) the validity or ownership of the Proprietary Marks.

  • Upon expiration or termination of this Agreement, no monetary amount shall be attributed to any goodwill associated with your use of the Hotel System or portion thereof.

  • We have the sole right to handle third party disputes concerning the use of all or any part of the Hotel System, and you shall, at your reasonable expense, extend your full cooperation to us in all matters relating to the operation of the Hotel.

  • All improvements and additions to or associated with the Hotel System made by you or anyone else and all goodwill arising from your use of the Proprietary Marks shall inure to our benefit and become our property.

  • You shall not initiate any lawsuit or proceeding against alleged imitators or infringers or any other lawsuit or proceeding to enforce or protect the Hotel System without our prior written consent.

  • We may arrange for development, marketing, operations, administration, technical and support functions, facilities, services and/or personnel with any other entity and may use any facilities, programs, services and/or personnel used in connection with the Hotel System in connection with our other business activities, even if our other business activities compete with the Hotel or the Hotel System.

  • We have designed the Hotel System so that the public associates the Hotels with high quality standards.

  • We have the right to inspect your Hotel at any time, with or without notice to you, to determine if the Hotel is in compliance with the Hotel System and the standards set forth in the Manual.

  • All recoveries made as a result of disputes with third parties regarding use of the Hotel System or any part thereof belong solely to us.

  • Fuel system means the components which store or transport fuel on board the vehicle and comprise the fuel tank system, all fuel and vapour lines, any non-tank mounted fuel pumps and the activated carbon canister.
