Hotel Consultant definition

Hotel Consultant means an independent nationally recognized consulting firm with substantial and significant experience in the first-class convention hotel segment as chosen by Corporation from the list of hotel consultants attached to the Management Agreement as Exhibit S. If either Manager or Corporation in their sole discretion determines that any such consulting firm listed on Exhibit S to the Management Agreement no longer qualifies as a nationally recognized consulting firm with substantial and significant experience in the first-class convention hotel segment, such consulting firm shall be removed from the list on Exhibit S to the Management Agreement and Manager shall submit to the Corporation and the Trustee the names of two (2) nationally recognized consulting firms with substantial and significant experience in the first-class convention center hotel segment, none of whom shall be Manager's primary hotel consultant or auditor and each of whom shall provide a written statement to each of Corporation and Trustee representing that it will make a fair and impartial judgment in any matter submitted to it pursuant to this Agreement. Corporation, upon the advice of the Asset Manager and with the prior written consent of the Trustee, shall select one of the names submitted as a replacement; provided that the Corporation, upon the advice of the Asset Manager, may reject both names in its sole discretion and require the Manager to submit two additional names for consideration until the Corporation selects the replacement.
Hotel Consultant has the sole right to control and direct the means, manner, and method by which the Services required under this Agreement will be performed; Hotel Consultant shall select the routes taken, starting and ending times, days of work, and order the work that performed;

  • The Hotel Consultant acknowledges that it will be necessary for the Client to disclose certain confidential and proprietary information to the Hotel Consultant in order for the Hotel Consultant to perform their duties under this Agreement.

If Manager or Owner in their reasonable discretion determines that any such consulting firm listed on Exhibit S no longer qualifies as a nationally recognized consulting firm with substantial and significant experience in the First- Class Hotel segment, such consulting firm shall be removed from the list on Exhibit S and Manager shall submit to Owner and the Trustee the names of two nationally recognized consulting firms with such experience, none of whom shall be Manager’s primary hotel consultant or auditor and each of whom shall provide a written statement to each of Owner and the Trustee representing that it will make a fair and impartial judgment in any matter submitted to it pursuant to this Agreement. Owner shall select one of the names submitted as a replacement; provided, that Owner may reject both names in its sole discretion and require Manager to submit two additional names for consideration until Owner selects the replacement.
Hotel Consultant means Laventhol & Hxxxxxx, Kxxxxxx Xxxxxxxxx & Company, Pxxxxxx, Kxxx & Fxxxxxx or any other nationally recognized independent Person, whichever Owner shall select, which has performed hotel consulting for at least ten years.

Related to Hotel Consultant

  • Sub-consultant means an entity to whom the Consultant intends to subcontract any part of the Services while the Consultant remains responsible to the Procuring Entity during the whole performance of the Contract.

  • Consulting Engineer /"Consultant" shall mean any firm or person duly appointed as such from time to time by the owner.

  • Construction Consultant means a third-party architect or engineer selected and retained by Funding Lender, at the cost and expense of Borrower, to monitor the progress of construction and/or rehabilitation of the Project and to inspect the Improvements to confirm compliance with this Borrower Loan Agreement.

  • Due Diligence Service Provider As defined in Section 12.13(l) of this Agreement.

  • Digital audio works which means works that result from the fixation of a series of musical, spoken, or other sounds, including ringtones; and
