Subject to satisfaction or waiver of the conditions set forth in Article 4, the Closing shall take place on the Closing Date at the offices of Honda’s Solicitors in Toronto, Ontario or at such other place as may be agreed to by Honda and the Purchaser.
Vendor’s Solicitors means Baker & McKenzie or Chu & Lau (as the casemaybe, please refer to the first page of this tender document); and
Seller’s Solicitors means Xxxxxxx Xxxxx LLP of 00 Xxxx Xxxx, Xxxxxx XX0X 0XX.
Buyer’s Solicitors means L'Estrange and Xxxxx Solicitors, Xxxxxx Xxxxx, 00-00 Xxxxxx Xxxxxx, Xxxxxxx XX0 0XX;
Purchaser’s Solicitors means Xxxxx & XxXxxxxx of 000 Xxx Xxxxxx Xxxxxx, Xxxxxx XX0X 0XX;
City Solicitor means the City employee holding that office or, if applicable, the successor to the authority or responsibility of such office;
Telephone solicitor means any person doing business in this state who makes or causes to be made a telephone solicitation from within or outside of this state, including, but not limited to, calls made by use of automated dialing and announcing devices or by a live person.
slaughterhouse means slaughterhouse as defined in point 1.16 of Annex I of Regulation (EC) No 853/2004;
LLP means a limited liability partnership as defined under the Limited Liability Partnership Act, 2008;
Professional solicitor means any person who, for a financial or other consideration, solicits
Overseas Shareholders holders of Scheme Shares who are resident in, ordinarily resident in, or citizens of, jurisdictions outside the United Kingdom;
Advisers means a party or parties furnishing services to the Trust pursuant to any investment advisory or investment management contract described in Article IV, Section 6(a) hereof;

Law firm means both of the following:
barrister means the barrister, practising as a member of the Bar of England and Wales, who is supplying the Services in accordance with the Agreement; a "Business Day" means a day that is neither a weekend nor a public holiday in England;
Poppy straw means all parts, except the seeds, of the opium poppy, after mowing.
Engineer’s Representative means the official in the civil/ electrical engineering department who is authorized to be in-charge of the work to which these presents relate. It shall include any other official nominated to attend to the supervision of day to day execution of the work to which this CONTRACT relates.
Estuary means a semi-enclosed, naturally existing coastal body of water which has a free connection with the open sea and within which seawater is measurably diluted with fresh water derived from riverine systems. [Section 373.403(15), F.S.]
Financial Closing means the execution of the Financing Documents by all the parties thereto, and the fulfillment of all conditions precedent thereunder necessary to permit the advance of funds to pay amounts due under this Agreement.
Company U.S. Counsel means XxXxxxxxx Will & Xxxxx LLP, with offices located at 000 Xxxxxxx Xxxxxx, Xxx Xxxx, XX 00000-0000.
Purchaser Counsel has the meaning set forth in Section 6.2(a).
KPMG means KPMG LLP.
Sellers’ Representative has the meaning set forth in the Preamble.
Solicitor means any person, firm or corporation who goes from dwelling to dwelling, business to business, place to place, or from street to street, taking or attempting to take orders for any goods, wares or merchandise, or personal property of any nature whatever for future delivery, except that the term shall not include solicitors for charitable and religious purposes and solicitors for subscriptions as those terms are defined below.
seaman ’ means an individual (except scientific personnel, a sailing school instruc- tor, or a sailing school student) engaged or employed in any capacity on board a vessel.
Shareholders’ Representative has the meaning set forth in the Preamble.
IMRO means the Irish Music Rights Organisation CLG.
