HM Group means, collectively, (i) Hicks, Muse, Tate & Xursx Xxxorporated and its Affiliates (including, without limitation, HMTF), (ii) so long as Hicks, Muse, Tate & Xursx Xxxorporated and its Affiliates possess sole voting right with respect to the capital stock held by each such individual, such individuals who are or were employees, officers, directors or partners of Hicks, Muse, Tate & Xursx Xxxorporated or such Affiliate and the family members of such individuals or trusts created for the sole benefit of such family members and (iii) so long as Hicks, Muse, Tate & Xursx Xxxorporated and its Affiliates possess sole voting right with respect to the capital stock held by each such Person, any Person not otherwise described by clause (i) and (ii) above, provided that the aggregate number of shares held by all such Persons in accordance with this clause (iii) at any time shall not exceed 5.0% of the aggregate number of shares held by the Persons described in clause (i) and (ii) above at such time.
