Other than with respect to CSFB and HLHZ, the fees of which will be borne by the Company, the Company has not incurred, and shall not incur, directly or indirectly, any liability for any brokerage or finders' fees or agents' commissions or any similar charges in connection with this Agreement, the other Loan Documents, Transaction Documents or any transaction contemplated hereby.

The Company has been advised in writing by HLHZ that in the opinion of HLHZ, as of the date hereof, the consideration to be received by the shareholders of the Company pursuant to this Agreement is fair, from a financial point of view, to the shareholders of the Company, a signed copy of which opinion will be delivered to Parent upon the execution of this Agreement.
