Hit Criteria definition

Hit Criteria means, with respect to a Collaboration Target, the success criteria for Degraders directed to such Collaboration Target set forth in the Candidate Development Plan as “Hit Criteria” for such Collaboration Target, which success criteria are intended to identify such Degraders and associated ligands as capable of binding to or having activity with respect to such Collaboration Target, including appropriate screening assays and parameters, binding potency, and cross-assays to confirm selectivity for such Collaboration Target.
Hit Criteria means, with respect to an Active Compound or Derivative Compound, those criteria for minimum and reproducible activity in an Elitra Assay and properties judged suitable for chemical elaboration or development by the JRC.
Hit Criteria means the properties mutually agreed in good faith by the JSC (with such agreement requiring approval of (a) both Parties' representatives on the JSC or (b) if the term of the JSC has expired or Tranzyme's participation on the JSC has ceased, then the approval of designees of each Party, in each case with a Party's consent not to be unreasonably withheld) as sufficient to identify a compound as capable of binding to or having activity with regards to the applicable Collaboration Target. The Hit Criteria shall include appropriate screening assays and parameters, binding potency, and cross-assays to confirm selectivity for the applicable Collaboration Target.

Examples of Hit Criteria in a sentence

  • Biogen will pay the Hit Fee to C4 for each applicable Collaboration Target no later than [***] after Biogen’s receipt of an invoice therefor, which invoice C4 may not provide to Biogen with respect to a Collaboration Target unless and until the JSC confirms that the applicable Degraders directed to such Collaboration Target satisfy the Hit Criteria for such Collaboration Target.

  • For clarity, Biogen may, at its sole discretion, determine to conduct IND-Enabling Studies (or further Development or Commercialization thereafter) with respect to any Degrader, regardless of whether such Degrader meets the Hit Criteria, Development Candidate Criteria, or Lead Criteria set forth in the applicable Candidate Development Plan.

  • On a Collaboration Target-by-Collaboration Target basis, C4 will provide written notice to the JSC upon the development of each Degrader directed to each Collaboration Target that satisfies the Hit Criteria for such Collaboration Target, together with all Deliverables to be provided with respect to Degraders that satisfy such Hit Criteria (as set forth in the applicable Candidate Development Plan) and applicable Deliverables and supporting Results.

  • Upon the JSC’s determination that any Compound satisfies the applicable Tractable Hit Criteria, such Compound shall be deemed a Tractable Hit for all purposes hereunder.

  • On a Collaboration Target-by-Collaboration Target basis, Biogen will pay to C4 a one-time payment of $[***] upon receipt of at least [***] Degraders directed to each Collaboration Target that satisfy the Hit Criteria for such Collaboration Target (as confirmed by the JSC pursuant to Section 4.2.3(d)) (each, a “Hit Fee”).

In addition, the Board retains the discretion to reduce or eliminate the compensation or economic benefit due upon attainment of Performance Goals and to define the manner of calculating the Performance Criteria it selects to use for such Performance Period. Partial achievement of the specified criteria may result in the payment or vesting corresponding to the degree of achievement as specified in the Stock Award Agreement or the written terms of a Performance Cash Award.

  • Performance Goal means a performance goal established by the Committee pursuant to Section 10.3.

  • Specific goals means specific goals as contemplated in section 2(1)(d) of the PPPFA which may include contracting with persons, or group of persons, historically disadvantaged by unfair discrimination on the basis of race, gender and disability including the implementation of programmes of the Reconstruction and Development Programme as published in Government Gazette No. 16085 dated 23 November 1994.
